中國寶安(000009.SZ)：貝特瑞與中偉股份簽署戰略合作框架協議 首期擬合作建設年產4萬金噸鎳產品產線
格隆匯5月5日丨中國寶安(000009.SZ)公佈，2022年5月5日，公司下屬子公司貝特瑞新材料集團股份有限公司(“貝特瑞”)與中偉股份(300919.SZ)簽署了《戰略合作框架協議》。雙方本着“平等協商、互惠互利、優勢互補、合作發展”的原則，在前驅體產品開發、前驅體產品供應、海外礦產資源開發及材料產能佈局等領域，開展多層次、全方位的戰略合作，通過產業協同、資源整合、資本融合、技術創新等舉措，建立戰略合作關係，形成產業鏈上下游競爭優勢，實現雙方利益的最大化。
甲方：貝特瑞新材料集團股份有限公司，乙方：中偉新材料股份有限公司，合作內容如下：
1、海外共同投資合作
(1)甲乙雙方同意，在上游礦產資源方面開展深入合作，共同開展印尼紅土鎳礦綜合開發利用。
(2)雙方同意，甲方意向參股投資乙方擬在印尼規劃建設的紅土鎳礦開發利用項目，首期擬合作建設年產4萬金噸鎳產品產線，具體投資額及投資比例等合作事宜，雙方將根據可行性研究結論在後續簽署的投資協議等文件中明確。
(3)雙方同意，乙方意向參股投資甲方擬在印尼規劃建設的正極材料工廠，具體投資額及投資比例等合作事宜，雙方在後續簽署的投資協議等文件中明確約定。
2、產品供銷合作
雙方同意將就動力電池用三元前驅體產品建立長期供銷關係。
(1)甲乙雙方本着戰略合作精神，將在產品供銷、加工方面進行長期穩定合作，力求月度均衡購銷。
(2)甲乙雙方後續合作時將另行簽署購銷合同、加工合同、購銷訂單等，進一步明確雙方權責。甲乙雙方均應嚴格遵守相關合同約定，維護彼此合法權益。
(3)基於雙方的戰略合作協議，甲方及甲方子公司應在同等條件下優先從乙方及乙方子公司採購三元前驅體，乙方保證供應給甲方的產品具有價格和質量優勢。
3、前驅體共同開發
雙方同意，將就新一代動力電池用三元前驅體產品技術開發進行共同研發並深度合作。
