世紀城市國際(00355.HK)獲控股股東羅旭瑞增持約1.44億股
格隆匯4月27日丨世紀城市國際(00355.HK)公吿，董事會獲YSL International Holdings Limited(由公司董事會主席、執行董事、行政總裁兼控股股東羅旭瑞全資擁有公司)通知，於2022年4月27日，YSL Int’l自Dalton Investments LLC("Dalton")收購144,212,237股公司普通股(佔於公佈日期公司全部已發行普通股股本約4.66%)，總代價為港幣4326.37萬元(即每股普通股港幣0.30元)。
緊隨收購事項後，YSLInt’l連同其全資附屬公司合共持有1,794,609,739股公司普通股，佔於公佈日期本公司全部已發行普通股股本約58.01%。緊接收購事項前，羅旭瑞合共於1,880,432,770股公司普通股中擁有權益(佔於公佈日期公司全部已發行普通股股本約60.78%)，當中包括(i)羅旭瑞持有的110,887,396股公司普通股；(ii)透過羅旭瑞全資擁有公司持有的1,769,164,691股公司普通股；及(iii)羅旭瑞配偶羅李潔提持有的380,683股公司普通股，當中羅旭瑞被視為擁有權益。
緊隨收購事項完成後，羅旭瑞合共於2,024,645,007股公司普通股中擁有權益(佔於公佈日期公司全部已發行普通股股本約65.44%)。
董事會獲YSLInt’l進一步通知有關收購事項，Dalton及其兩間聯屬公司(統稱"Dalton集團")向YSLInt’l授予優先購買權。倘Dalton集團自授出該權利起計三年內任何時間擬轉讓全部或任何部分由Dalton集團於緊隨收購事項後持有餘下118,938,398股公司普通股(佔於公佈日期公司全部已發行普通股股本約3.84%)，則YSLInt’l將擁有優先購買全部或任何部分該等股份權利。
