極光(JG.US)關於《外國公司問責法案》項下狀況的聲明
2022年4月22日，中國深圳——中國領先的移動開發者服務提供商極光(Aurora Mobile，納斯達克股票代碼：JG)(以下稱“極光”或“公司”)今日提供了有關《外國公司問責法案》(“HFCAA”，“該法案”)項下狀況的更新。
2022年4月21日，美國證券交易委員會(“美國證監會”)將公司暫定為“委員會認定的發行人”，此前公司於2022年4月14日向美國證監會提交了截至2021年12月31日的20-F表格年度報吿，其中包括了美國公眾公司會計監督委員會(“PCAOB”)認定其無法全面檢查或核查的會計師事務所出具的審計報吿。美國證監會於2020年進行的一項審查中曾經估計會有約273名註冊人在《外國公司問責法案》項下被認定。
公司理解美國證監會是根據《外國公司問責法案》做出了上述認定，該法案要求，如果美國證監會認定一家公司已提交了審計報吿，而出具該審計報吿的註冊會計師事務所自2021年起連續三年未能接受PCAOB的全面檢查或核查，則美國證監會將禁止該公司的股票或美國存托股票(“ADS”)在任何美國的全國性證券交易所或場外交易市場進行交易。
上述認定不意味着公司的美國存托股票將從納斯達克股票交易所退市。根據《外國公司問責法案》的條款，僅當公司連續三年被美國證監會因PCAOB無法核查審計工作底稿而做出上述認定時，才會被美國股票交易所退市。
公司一直在適當的法律顧問和指導下積極關注市場動態並評估在截止日期前滿足《外國公司問責法案》要求的方案，此次聲明對業務經營沒有影響。我們也將繼續積極的謀求解決方案，保護股東利益，並在條件允許的情況下，保持公司在納斯達克市場上的掛牌狀態。
