株冶集團(600961.SH)：擬收購水口山有限100%股權及株冶有色20.8333%股權 明起復牌
格隆匯4月21日丨株冶集團(600961.SH)公佈，公司擬通過發行股份及支付現金方式購買水口山集團持有的水口山有限100%的股權，具體股份、現金支付比例，將根據標的資產的最終交易價格由各方協商，並在重組報吿書中予以確定；同時，公司擬通過發行股份方式購買湘投金冶持有的株冶有色20.8333%的股權。此次交易完成後，公司將直接持有水口山有限、株冶有色100.00%股權。
此次交易中，公司發行股份及支付現金購買資產的股份發行定價基準日為公司審議本次發行股份及支付現金購買資產並募集配套資金事項的董事會決議公吿日，即第七屆董事會第十四次會議決議公吿日。本次發行股份的價格不低於定價基準日前120個交易日股票交易均價的90%，即8.78元/股。
公司擬向不超過35名符合條件的特定投資者以詢價的方式非公開發行股票募集配套資金，此次募集配套資金總額不超過此次交易中以發行股份購買資產的交易對價的100%，且股份發行數量不超過此次發行前上市公司總股本的30%。此次募集配套資金髮行股份採取詢價發行的方式，發行價格不低於上市公司募集配套資金定價基準日前20個交易日上市公司股票交易均價的80%。
此次募集配套資金擬用於支付此次交易中的現金對價、補充上市公司流動資金等；其中，用於補充流動資金的比例不會超過本次交易中以發行股份購買資產的交易作價的25%，或不超過本次募集配套資金總額的50%，募集資金具體用途及金額將在重組報吿書中予以披露。
此次交易前，公司主營業務為鋅冶煉及加工；此次交易完成後，公司將成為一家集鉛鋅等有色金屬的採選、冶煉、銷售為一體的綜合性公司，市場地位、盈利能力將大幅提升。通過此次重組，公司將擁有鉛、鋅資源儲量，儲備優質的礦產資源是確保公司盈利能力的最大保障，也是公司的核心競爭力之一。
經向上海證券交易所申請，公司股票將於2022年4月22日開市起復牌。
