格隆匯4月20日丨 *ST雲城(600239.SH)公佈，公司擬以公開掛牌方式對外出售公司持有的雲南城投龍江房地產開發有限公司(“龍江公司”)100%的股權、昆明城海房地產開發有限公司(“昆明城海”)100%的股權、雲南紅河房地產開發有限公司(“紅河地產”)100%的股權、西安東智房地產有限公司(“西安東智”)100%的股權、海南天聯華投資有限公司(“海南天聯華”)75%的股權、海南天利投資發展有限公司(“海南天利發展”)75%的股權、昆明雲城尊龍房地產開發有限公司(“雲城尊龍”)74%的股權、中建穗豐置業有限公司(“中建穗豐”)70%的股權、北京雲城企業管理有限公司(“北京雲城企業”)70%的股權、台州銀泰商業有限公司(“台州銀泰”)70%的股權、杭州西溪銀盛置地有限公司(“杭州西溪”)70%的股權、杭州蕭山銀城置業有限公司(“杭州蕭山”)67%的股權、雲南東方柏豐投資有限責任公司(“東方柏豐”)51%的股權、陝西西鹹新區秦漢新城秦迎實業有限公司(“陝西秦漢新城”)51%的股權、西安國際港務區海榮實業有限公司(“西安海榮實業”)51%的股權、西安海榮青東村房地產開發有限公司(“西安海榮青東村”) 51%的股權、寧陝縣雲海房地產開發有限公司(“寧陝雲海地產”)51%的股權、雲尚發展(淄博)有限公司(“雲尚發展”)51%的股權、國壽雲城(嘉興)健康養老產業投資合夥企業(有限合夥)(“國壽雲城”)29.9401%的財產份額、寧波奉化銀泰置業有限公司(“寧波奉化”)19%的股權；公司全資子公司天津銀潤投資有限公司(“天津銀潤”)擬以公開掛牌方式對外出售天津銀潤持有的寧波奉化51%的股權；公司下屬公司成都銀城置業有限公司(“成都銀城”)擬以公開掛牌方式對外出售成都銀城持有的成都華爾道夫酒店。
通過此次資產出售，公司將逐步轉型為以物業管理、商管運營等核心業務為主的輕資產運營城市綜合服務商。
經初步測算，預計此次交易將構成重大資產重組，此次交易不會導致公司控制權的變更。公司控股股東康旅集團指定康源公司或其下屬公司按照掛牌底價和公開掛牌項下的其他交易條件競價一次。
