北礦科技(600980.SH)：擬購買株洲火炬100%股權 將進一步豐富公司主營技術和產品線
格隆匯4月19日丨北礦科技(600980.SH)公佈發行股份及支付現金購買資產並募集配套資金暨關聯交易報吿書(草案)，上市公司擬通過發行股份及支付現金的方式，購買礦冶集團、眾和企管、謝安東、許志波、啟原企管、魯志昂、夏俊輝、熊家政、張新根、李勇、汪洋洋、劉成強合計持有的株洲火炬100%股權。此次交易完成後，株洲火炬將成為上市公司的全資子公司。
經交易各方協商，此次發行股份購買資產的股票發行價格確定為14.14元/股，不低於定價基準日前20個交易日公司股票交易均價的90%。
標的資產的交易價格以具有證券期貨相關業務資格的評估機構出具並經礦冶集團履行備案程序的評估報吿為基礎，由交易各方協商確定。經交易各方協商確定標的公司100%股權的交易價格約為1.86億元。
上市公司擬向包括礦冶集團在內不超過35名符合條件的特定投資者非公開發行股份募集配套資金，募集配套資金總額不超過6800萬元，且不超過此次交易中以發行股份方式購買資產的交易價格的100%，發行股份數量不超過此次交易前上市公司總股本的30%。其中，礦冶集團認購募集配套資金金額不超過2300萬元。
此次募集配套資金擬用於支付此次交易中的現金對價、交易税費及中介機構費用、補充上市公司流動資金。募集配套資金用於補充公司流動資金的比例不會超過交易作價的25%。
此次交易前，上市公司主營業務包括兩大主業，一是包括浮選設備、磁選設備、磨礦設備等在內的礦冶裝備的研發、生產和銷售，二是包括燒結永磁鐵氧體、粘結永磁鐵氧體等在內的磁性材料及器件的研發、生產和銷售。
此次交易的標的公司主營業務是有色冶金裝備的研發、生產和銷售，其主要產品包括有色冶金流程裝備、固廢資源化無害化處理工藝及裝備以及節能環保裝備等。
作為標的公司的主營產品，冶金裝備製造與上市公司主營產品中的選礦裝備製造同屬專用設備製造業，共同服務於礦產資源開發利用產業鏈的不同環節。標的公司併入上市公司後，其技術和產品能進一步豐富上市公司的主營技術和產品線，提升上市公司服務礦產資源開發利用產業鏈的能力和水平，強化上市公司主營業務的產業鏈價值，是上市公司主營業務的重要補充。
