朝雲集團(06601.HK)擬通過“收購+注資”方式獲中博綠亞30.0046%股權 加碼佈局寵物用品行業
格隆匯4月18日丨朝雲集團(06601.HK)宣佈，於2022年4月18日，公司間接全資附屬廣州朝雲控股有限公司(”廣州朝雲“)與劉高升、武漢中博綠亞生物科技有限公司(”中博綠亞“)所有其他現有股東及中博綠亞(彼等各自均為獨立第三方)訂立股權轉讓及注資協議(”該協議“)以及與劉高升及中博綠亞訂立該協議的補充協議("補充協議"，連同該協議為"該等協議")。劉高升為中博綠亞的實際控制人。該等協議於2022年4月18日籤立後生效。
根據該等協議，廣州朝雲向中博綠亞的實際控制人劉高升收購中博綠亞23.45%的股權。同時，廣州朝雲亦通過注資的方式收購中博綠亞8.5625%的股權。於投資完成後，中博綠亞將由廣州朝雲擁有30.0046%，而廣州朝雲將成為中博綠亞的第二大股東，並於未來可能收購中博綠亞的股權時擁有優先購買權。
根據補充協議，考慮到雙方的長期發展戰略，廣州朝雲與中博綠亞在雙方互信互惠的基礎上，決定在寵物保健品和寵物藥品行業的研發資源共享、產品開發、供應鏈合作、資本合作等方面建立雙贏、可持續的戰略合作伙伴關係。
公吿顯示，中博綠亞是一家根據中華人民共和國法律成立的公司，是一家擁有生產質量管理規範(GMP)認證的領先高新技術企業，專注於在中國生產、研發及銷售寵物藥品及保健產品。中博綠亞經營知名品牌小寵逾16年，其產品及服務覆蓋超過1萬家線下寵物店及寵物醫院網點。中博綠亞擁有完整的寵物藥品及保健產品生產線。憑藉與專業研發團隊的緊密合作機制，中博綠亞在寵物藥品及保健產品領域積累了豐富的研發資源和強大的技術優勢。
近年來，公司一直戰略性發展寵物用品業務，該業務板塊的收入實現快速增長。就寵物用品類別而言，收入由截至2020年12月31日止年度的人民幣2200萬元增加138.9%至截至2021年12月31日止年度的人民幣5270萬元。於2021年，集團成功打造了寵物除菌除味產品、貓砂產品的爆品系列以及貓主糧、犬主糧、貓零食和益生菌等毛利率高的寵物純鮮肉食品產品線。
為進一步深化在寵物用品行業的佈局，公司正在尋求與行業內具有獨家經驗及專業知識的合作夥伴合作，並將中博綠亞視為實現該目標的合適業務合作夥伴。通過對中博綠亞的投資，公司將與中博綠亞在寵物保健品及藥品的研發、採購、生產及供應鏈方面建立戰略合作，並利用其資源及經驗進一步發展集團的寵物保健產品業務。董事會認為，訂立該等協議將賦能公司提升其寵物用品業務的核心競爭力。
