雅化集團(002497.SZ)：擬認購加拿大超鋰公司股權並進行鋰輝石礦的礦業權投資
格隆匯4月17日丨雅化集團(002497.SZ)公佈，2022年4月17日，公司全資子公司雅化國際投資發展有限公司(“雅化國際”)與加拿大超鋰公司(英文名：Ultra Lithium Inc.，“超鋰公司”)簽署了《股權認購協議》，擬出資500萬加元，以每股0.235加元的價格認購超鋰公司21,276,596單位股份(最終認購數量及單位價格以多交所批准的為準)，佔超鋰公司截至公吿日總股本的13.23%。同時，雅化國際以現金出資收購超鋰公司全資子公司60%的股權，並控股旗下福根湖硬巖石鋰輝石型鋰礦項目和佐治亞湖硬巖石鋰輝石型鋰礦項目。同日，雙方簽署了《買賣及合資企業協議》。
公吿顯示，加拿大超鋰公司是一家在加拿大多倫多證券交易所創業板上市的勘探開發公司，公司股票代碼TSXV: ULT，專注於鋰、金和銅資源的勘探和開發。超鋰公司在阿根廷擁有滷水鋰礦，在加拿大安大略省北部的佐治亞湖和福根湖地區擁有硬巖石鋰輝石型鋰礦，還在阿根廷多個地區擁有銅、金採礦權和探礦權。
福根湖硬巖石鋰輝石型鋰礦項目和佐治亞湖硬巖石鋰輝石型鋰礦項目位於加拿大安大略省，礦權面積合計26.72平方公里，礦區良好的基礎設施支持，交通便利，水電等基礎設施齊備，附近高速公路可直接到港口，約145公里。福根湖項目根據地表露頭面積估計資源量640萬噸，氧化鋰平均品位2.2%，初探估計氧化鋰當量約14萬噸；佐治亞湖項目礦根據地表露頭面積估計資源量540萬噸，氧化鋰平均品位1.2%，初探估計氧化鋰當量約6.5萬噸。加拿大鋰礦項目地質成礦背景和甲基卡地質成礦背景類似，位於花崗巖與圍巖接觸帶的含鋰花崗偉晶巖脈分佈區域，經國內甲基卡、X03脈探礦資深專家組核心成員們判斷，該鋰礦項目具有大概率勘探、發現超大型鋰輝石儲量的潛力。根據初探結果，首期將設計建設20萬噸/年氧化鋰6%的鋰精礦採選廠，持續運營時間不低於10年，後期將根據進一步詳勘情況，建設二期再將產能擴大至40萬噸。
阿根廷卡塔馬卡省Laguna鹽湖項目由三個採礦許可構成，礦權面積117平方公里，鋰離子品位最高達1270mg/L。
此次認購加拿大超鋰公司股權並進行鋰輝石礦的礦業權投資，是公司在鋰產業上游資源端的進一步佈局，將盡快投資推進福根湖鋰礦項目、佐治亞湖鋰礦項目勘探、開發、建設和投產，有利於豐富公司未來上游鋰資源，提高公司鋰礦自主可控能力，進一步提升公司盈利能力和綜合競爭實力，符合公司鋰產業戰略發展規劃。此次股權認購及礦業權投資事項將對公司未來的財務狀況和經營成果產生積極影響。
