突發！聯想被採取行政監管措施！
2022年4月14日，中國證監會北京監管局官網發佈消息：對聯想採取責令改正的行政監管措施！
聯想控股股份有限公司:
根據中國證監會《關於開展2021年公司債券發行人現場檢查工作的通知》(債券部函〔2021〕269號)及監管工作安排,我局於2021年9月8日至9月18日對你公司進行了現場檢查,發現你公司存在以下問題。
1.定期報告披露不及時。公司2020年年度報告在香港聯交所披露時間早於境內交易所公司債券年度報告發布時間。
2.臨時報告披露不及時。公司擬收購盧森堡國際銀行股權事項在上海證券交易所披露時間晚於香港聯交所披露時間。
3.個別子公司股權質押未在相關募集說明書及定期報告中披露。
4.公司經營性與非經營性往來界定不夠清晰,非經營性往來佔款或資金拆借披露不準確。
同時,我局在日常監管中發現,2022年3月31日,你公司在香港聯交所發佈《截至2021年12月31日止年度全年業績公佈》公告,但是該信息未在上海證券交易所債券市場同步披露。
上述行爲違反了《公司債券發行與交易管理辦法》(2021年)第四條、《公司債券發行與交易管理辦法》(2015年)第四條、《公司信用類債券信息披露管理辦法》第十五條及《公開發行證券的公司信息披露內容與格式準則第38號--公司債券年度報告的內容與格式》第八條的規定。現決定對你公司採取責令改正的行政監管措施。
你公司應在收到本決定書之日起,立即開展全面整改,嚴格落實《公司債券發行與交易管理辦法》《公司信用類債券信息披露管理辦法》的相關規定,及時、公平地履行披露義務,提高信息披露質量,保證信息披露的信息必須真實、準確、完整,並於收到本決定書之日起30日內提交書面整改報告。
如果對本監督管理措施不服,可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請,也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間,上述監督管理措施不停止執行。
