中集集團(02039.HK)：中集運載科技註冊資本將增至11.96億元
格隆匯4月14日丨中集集團(02039.HK)發佈公吿，於2022年4月14日，遠致創投、遠致瑞信及信福滙十五號作為增資方同意以訂立增資協議及股東協議方式增資於目標公司中集運載科技有限公司（於本公吿日期為公司的非全資附屬公司）。完成後，公司持有目標公司股份由70.9238%降至67.3334%，目標公司仍為集團的非全資附屬公司。
根據增資協議，目標公司的註冊資本將由約人民幣11.36億元增至人民幣11.96億元。各方確認並同意，遠致創投、遠致瑞信及信福滙十五號根據增資協議約定的條款與條件，以合計人民幣16,450萬元（其中：遠致創投應支付人民幣4,200萬元，遠致瑞信應支付人民幣11,788萬元，信福滙十五號應支付人民幣462萬元），用於向目標公司認購人民幣6,057萬元的新增註冊資本，其餘部分人民幣10,393萬元作為資本溢價計入目標公司的資本公積。
目標公司為在中國成立的有限責任公司。於本公吿日期，目標集團為公司的非全資附屬公司，專注於為客户提供循環包裝替代一次性包裝綜合解決方案，助力碳中和。目前，主要為汽車、橡膠和大宗商品等行業提供定製化的循環載具研發製造、租賃運營及包裝綜合解決方案，主要產品包括髮動機包裝箱、動力電池包裝箱、變速箱包裝箱、橡膠箱、IBC箱（Intermediate Bulk Container，中型散裝容器）等。
公司表示，目標公司專注於為客户提供循環載具替代一次性載具綜合解決方案，助力碳中和。目前，中集運載科技主要聚焦汽車、新能源、橡膠、家電及生鮮農產品等行業，服務內容涵蓋研發製造、循環運營服務等一站式綜合解決方案，業務橫跨製造和服務兩大領域，並正着力提升服務業的營收佔比。根據這一戰略，為增強目標公司的核心競爭力，充實現金流，降低目標公司未來因持續投入運營資產所帶來的資金壓力，以及藉助戰略投資者的優勢資源合作發展循環智能載具業務，目標公司擬引入深資本作為戰略投資者。
本次增資有利於充實目標公司的現金流，更好的支持目標公司發展服務業務，降低其對集團財務資源的佔用。同時，進一步支持集團由製造業向製造+服務業務的轉型。有利於全面、深入推進深圳國資體系企業與集團各產業的戰略合作。
