海默科技(300084.SZ)：控股股東終止協議轉讓暨終止控制權變更等
格隆匯4月13日丨海默科技(300084.SZ)公佈，2022年4月13日，公司與控股股東、實際控制人竇劍文及其一致行動人張立剛、張立強與甘肅國開投資有限公司(“甘肅國開”)簽署了《海默科技控制權收購項目終止協議》，經各方協商一致，同意終止控股股東、實際控制人竇劍文及其一致行動人張立剛與甘肅國開於2020年7月3日簽訂的《股份轉讓協議》和2021年6月2日簽訂的《股份轉讓協議之補充協議》；同意終止控股股東、實際控制人竇劍文及其一致行動人張立剛、張立強與甘肅國開2020年7月3日簽訂的《表決權委託協議》和2021年6月1日簽訂的《表決權委託協議之補充協議》；同意終止海默科技與甘肅國開2020年8月28日簽署的《附條件生效的股份認購協議》。
此次控制權變更事項的主要目的是希望通過控制權變更後能夠依託國有企業優勢，解決民營企業經營性融資難、融資貴的問題。但是，自海默科技披露此次控制權變更事項後，各合作銀行認為海默科技控制權將發生變化，該事項存在重大不確定性，造成各項貸款業務不同程度受到影響。由於審批長期未決，導致銀行融資部分受限、運營資金吃緊，部分墊資較大的訂單無力承接，已影響到公司2020年和2021年的投融資活動及生產經營。
海默科技作為上市公司面臨的經營環境複雜多變，此次控制權變更事項長期不決，不利於公司的經營決策，同時影響了公司的其他資本運作。自公司披露預案以來，海默科技股價也經歷了大幅波動，中小投資者均密切關注此次收購事項的進展情況，因審批時間長中小股東已產生較多的質疑聲音，並已通過多種途徑表達了嚴重的不滿，在這種情況下海默科技備受中小股東質疑，面臨巨大的輿論壓力。
綜上，此次控制權變更事項長期未能獲得甘肅省人民政府國有資產監督管理委員會的批覆，合同目的無法實現，為了保護上市公司股東利益，經竇劍文會商海默科技，決定向甘肅國開提出解除因此次控股權變更而簽署的《股份轉讓協議》、《表決權委託協議》和《表決權委託協議之補充協議》，並按規履行信息披露義務。
