三峽旅遊(002627.SZ)：擬收購長江旅發、行勝公司各100%股權 明起復牌
格隆匯4月12日丨三峽旅遊(002627.SZ)公佈，公司擬以發行股份的方式向基地公司購買其持有長江旅發100%股權、向交旅投資購買其持有行勝公司100%股權。此次交易完成後，長江旅發、行勝公司將成為公司全資子公司。
鑑於此次交易標的資產的評估值和交易價格尚未確定，此次交易向交易對方發行股份數量尚未確定。交易各方將在交易標的的審計、評估工作完成之後協商確定此次交易的具體方案，並在重組報吿書中予以披露。
同時，公司擬向不超過35名特定投資者以非公開發行股票的方式募集配套資金，募集資金總額不超過本次重組交易價格的100%，且本次募集配套資金髮行的股份數量不超過本次發行前三峽旅遊總股本的30%。
募集配套資金擬用於標的公司項目建設、補充上市公司流動資金、支付中介機構費用及本次交易相關税費等，募集配套資金用於補充公司流動資金的比例不應超過交易作價的25%；或者不超過募集配套資金總額的50%。募集資金具體用途及金額將在重組報吿書中予以披露。
目前，公司主要經營旅遊綜合服務、綜合交通服務、土地一級開發等業務。近年來，隨着區域綜合交通格局的變化，受高鐵動車、民航及私家車、網約車等出行方式的影響，公司綜合交通服務業務呈下降趨勢，土地一級開發業務已基本完成。
公司將做大做強旅遊綜合服務作為公司未來轉型發展的重要戰略。2015-2021年，公司持續加快旅遊產業發展步伐，促進旅遊綜合服務業務穩步發展，不斷健全配套要素。經過多年的發展，公司已經具備一定旅遊綜合服務能力，公司旅遊綜合服務業務主要包括旅遊交通服務、休閒觀光遊輪服務、旅遊港口服務、旅行社業務及旅遊景區運營等。
三峽大壩旅遊區(5A級景區)是三峽旅遊目的地的核心吸引地，是兩壩一峽最核心的旅遊景區。此次交易完成後，將實質性推動公司整合兩壩一峽區域旅遊資源，實現區域內數百萬量級遊客在各旅遊景區之間的流量轉化，促進區域協同發展。
此次交易完成後，將增強公司在旅遊產品市場營銷和旅遊服務上的協同效應，推動兩壩一峽旅遊度假區內的休閒觀光遊輪旅遊、三峽大壩展示參觀和休閒度假旅遊業態的互動轉化和深度融合，夯實公司旅遊產品在兩壩一峽區域市場的核心地位，有助於優化公司旅遊產業發展環境，提升公司旅遊品牌影響力，有利於公司主營業務向旅遊產業轉型發展。
根據相關規定，經公司申請，公司股票自2022年4月13日開市起復牌。
