北京城鄉(600861.SH)：擬以相關資產及負債與北京外企86%股權的等值部分進行置換 主營業務將變更為人力資源服務
格隆匯4月11日丨北京城鄉(600861.SH)公佈重大資產置換及發行股份購買資產並募集配套資金暨關聯交易報吿書(草案)，北京城鄉擬以截至評估基準日除保留資產外的全部資產及負債與北京國管持有的北京外企86%股權的等值部分進行置換，置出資產將由北京國管承接。
此次交易/此次重組項下的保留資產，具體包含：1.黃寺商廈100%股權，2.產權證號為京海國用(2007轉)第4123號、X京房權證海股字第002023號、京(2016)朝陽區不動產權第0084755號的土地/房屋建築物，3.北京城鄉持有的14輛公務車輛，及4.上述資產相關的遞延所得税資產/負債；如上述股權/土地/房屋建築物/公務車輛在資產交割日之前進行處置，則因處置上述股權/土地/房屋建築物/公務車輛而獲取的交易對價仍作為保留資產。(注：京(2016)朝陽區不動產權第0084755號不動產權證書已經換領為京(2022)朝不動產權第0020272號不動產權證書)。
北京城鄉擬向北京國管以發行股份的方式購買北京國管持有北京外企86%股權與置出資產交易價格的差額部分，擬向天津融衡、北創投以及京國發以發行股份的方式購買其分別持有的北京外企8.8125%、4.00%、1.1875%的股權。通過此次重組，北京城鄉將取得北京外企100%股權。
上市公司擬向北京國管以非公開發行股票的方式募集配套資金，募集配套資金髮行股份的數量不超過95,041,484股，不超過此次交易前上市公司總股本的30%，募集配套資金總額不超過此次交易以發行股份方式購買資產交易價格的100%。
此次交易完成前，上市公司所從事的主要業務以商業和旅遊服務業為主，文創及物業等其他業態為補充，主要業態為百貨零售及購物中心、綜合超市和社區超市。
此次交易完成後，上市公司主營業務將變更為人力資源服務，包括人事管理服務、薪酬福利服務、業務外包服務、招聘及靈活用工服務等。此次交易有利於上市公司探索新業務轉型、尋求新利潤增長，有利於提升上市公司盈利能力和綜合實力。
