科力遠(600478.SH)：擬共同助力江西鼎盛達成戰略轉型目標 共同拓展儲能市場和節能與新能源汽車市場
格隆匯4月11日丨科力遠(600478.SH)公佈，基於公司正在實行戰略調整，迴歸電池主業，重點佈局鎳氫、鋰電、其他電池及材料等產業，同時為公司子公司科力遠混合動力技術有限公司(“CHS公司”)混動總成系統業務引進戰略投資者共同幫助其獨立發展；交易對方張強金、張敏、江西省宜豐縣同安礦產品開發有限公司(“江西同安”)有意共同將江西鼎盛新材料科技有限公司(“標的公司”)轉型成為集鋰礦、鋰電材料、混合動力與混合儲能技術於一體的高新技術企業。根據合作各方戰略調整方向、業務發展需求和資源協同價值，各方擬簽訂《增資認購意向協議》，共同助力標的公司達成戰略轉型目標，共同拓展儲能市場和節能與新能源汽車市場。
江西同安擬以其持有的子公司股權、標的公司原股東擬以其他資產或現金、CHS公司擬以其擁有的相關技術資產，同時對標的公司進行增資，增資完成後，三家交易對方合計持有標的公司約70%股權，CHS公司持有標的公司約30%股權，具體增資安排如下：
1、江西同安擬以其持有宜豐縣東聯礦產品開發有限公司70%股權對標的公司進行增資、出資作價以評估值為基準，剩餘部分由三家交易對方以資產或現金的形式進行認繳出資。
2、CHS公司擬以其合法並完整擁有的混合動力系統相關技術所有權出資(“CHS技術”)對標的公司進行增資，出資作價以評估機構進行評估的評估值為基準，但不得低於相關資產評估基準日2021年12月31日的賬面淨值，即11.2億元。
3、最終的估值結果及各方出資及持股比例，由各方根據盡職調查、資產評估結果等協商確定。
CHS公司持有未作為出資部分的其它專利及專有技術在標的公司增資完成後一年內，標的公司可視發展情況以上述專利及專有技術轉讓時的賬面價值作價受讓該專利及專有技術。
標的公司增資後，標的公司負責混合動力技術相關產品研發及市場開發，CHS公司負責產品生產及交付，標的公司形成訂單後以委託生產的方式向CHS公司採購，評估基準日CHS公司賬面與混合動力產品相關的存貨、固定資產、在建工程按評估基準日賬面價值在後續產品生產及交付時計入生產成本，標的公司予以確認。
公司正在實行戰略調整，將聚焦鎳氫、鋰電、其他電池及材料等產業鏈的發展與佈局，同時為CHS公司混動總成系統業務引進具有資源協同價值的戰略投資者獨立發展。
該協議的簽訂，有利於推動公司加快實現戰略調整，優化資源配置，提升公司電池主業經營質量與業務規模，也有利於幫助CHS公司混動總成系統業務獲得持續發展；同時，有利於推動公司與交易對方達成進一步的戰略合作，在碳酸鋰及磷酸鐵鋰材料、數字化芯材及儲能電芯等領域共同創造協同價值。
