當代置業(01107.HK)擬4000萬元轉讓合肥市肥東項目權益

格隆匯4月8日丨當代置業(01107.HK)公佈,於2022年4月8日,該等訂約方訂立和解協議,據此,蘇州當代(爲公司全資附屬公司)同意向肥東斌鋒轉讓其於綠恆摩碼的51%權益;及合肥慕斌(由合肥當代擁有51%)同意向肥東斌鋒轉讓其於合肥綻藍的100%權益,總代價爲人民幣4000萬元,惟須遵守和解協議的條款及條件。於完成後,綠恆摩碼及合肥綻藍將不再爲公司的附屬公司,且其財務業績將不再與集團的財務業績合併。

緊隨完成後,集團將獲解除所有就該等項目結欠寧夏鼎信的擔保義務。同時,集團將不再於該等項目中擁有任何權益。

據悉,綠恆摩碼是在中國成立的有限公司,由蘇州當代擁有51%,由肥東斌鋒擁有49%。其主要在中國從事物業開發、商業樓宇銷售及物業租賃。綠恆摩碼是肥東土地1開發項目的項目公司。肥東土地1位於合肥市肥東縣,地盤面積約54,336平方米,規劃作住宅用途。截至公告日期,肥東土地1開發項目的建設已暫停。

合肥綻藍爲在中國成立的有限公司,由合肥慕斌擁有100%。合肥慕斌是在中國成立的有限公司,由合肥當代擁有51%,由肥東斌鋒擁有49%。合肥綻藍是肥東土地2開發項目的項目公司。肥東土地2位於合肥市肥東縣,地盤面積約41,227平方米,規劃作住宅用途。截至公告日期,肥東土地2開發項目的建設已暫停。

董事會認爲,就該等項目進一步注資將給集團帶來財務負擔。監於目前市況及該等項目下的樓盤銷售價格下跌,如果集團繼續投資於該等項目,估計集團將錄得額外虧損。考慮到集團目前面臨的財務壓力,董事會認爲,通過簽訂和解協議,集團能夠獲解除所有就該等項目結欠寧夏鼎信的擔保義務,解除對該等項目進一步注資的義務,減少該等項目竣工時將蒙受額外損失,而權益轉讓所得款項淨額將能減輕集團短期流動資金壓力。董事預計,出售事項的所得款項淨額人民幣4000萬元,將用作償還集團現有債務。
