長飛光纖光纜(06869.HK)：擬收購博創科技控制權
格隆匯4月7日丨長飛光纖光纜(06869.HK)宣佈，於2022年4月7日，公司與賣方訂立股份轉讓協議，據此，公司擬以每股人民幣40元收購目標公司博創科技12.72%股份，代價為人民幣10.28億元
進一步宣佈，於2022年4月7日，公司與朱偉訂立表決權委託協議，據此，朱偉同意委託公司行使其所持22,110,372股標的股份所附帶的全部表決權，佔目標公司現有已發行股本的12.71%，自待售股份過户至公司名下之日起生效，為期48個月。
據悉，目標公司博創科技為深圳證券交易所上市公司(股票代碼：300548)，於公吿日期，朱偉、丁勇、王曉虹、江蓉芝及天通分別持有其16.95%、6.45%、1.86%、1.32%及5.27%股權，其餘68.15%股權由公眾股東持有。
於此次收購事項完成後，公司將(i)持有目標公司合共12.72%股權，連同表決權委託協議項下委託的12.71%的表決權，公司將控制目標公司(為控制目標公司最多表決權的股東)25.43%的表決權；及(ii)控制目標公司董事會多數成員。因此，目標公司將成為公司的非全資附屬公司，目標公司的財務業績將於收購事項完成後併入公司的綜合財務報表。
公吿稱，收購事項為集團持續增長策略的一部分。目標公司專注於集成光電子器件的規模化應用，為電信傳輸網及接入網和數據通信提供光無源和有源器件。目標公司擁有多項自主開發的核心技術，建立了平面光波導(PLC)、微光機電(MEMS)、矽光子和高速有源模塊封裝技術平台，為通信設備商、電信和互聯網運營商提供優質的關鍵性器件。公司看好目標公司的未來發展，認為其具有長期投資價值。此次收購事項有利於公司提升自身的資源調配，提高運營能力、持續盈利能力及市場競爭力。其亦將有利於促進公司與目標公司未來的業務協同，提升雙方的業務發展能力及競爭優勢。
