天元股份(003003.SZ)：擬推2022年股票期權與限制性股票激勵計劃
格隆匯4月7日丨天元股份(003003.SZ)公佈2022年股票期權與限制性股票激勵計劃(草案)，該激勵計劃擬向激勵對象授予權益總計176.72萬份，涉及的標的股票種類為A股普通股，約佔該激勵計劃草案公吿時公司股本總額17,672.00萬股的1.00%。
其中，首次授予權益141.380萬份，約佔該激勵計劃草案公吿時公司股本總額的0.80%，佔該激勵計劃擬授出權益總量的80%；預留權益35.340萬份，約佔該激勵計劃草案公吿時公司股本總額的0.20%，佔該激勵計劃擬授出權益總量的20%。預留部分未超過本次擬授予權益總額的20%。具體如下：
(一)股票期權激勵計劃：公司擬向激勵對象授予的股票期權數量為141.376萬份，涉及的標的股票種類為A股普通股，約佔該激勵計劃草案公吿時公司股本總額的0.8%。其中首次授予113.110萬份股票期權；預留28.266萬份股票期權。每份股票期權在滿足行權條件的情況下，擁有在有效期內以行權價格購買1股公司股票的權利。
(二)限制性股票激勵計劃：公司擬向激勵對象授予的限制性股票數量為35.344萬股，涉及的標的股票種類為A股普通股，約佔該激勵計劃草案公吿時公司股本總額的0.20%。其中首次授予28.270萬股限制性股票；預留7.074萬股限制性股票。
首次授予的股票期權的行權價格為10.73元/股；預留部分股票期權的行權價格與首次授予部分股票期權的行權價格一致，為每股10.73元。
該激勵計劃首次授予的激勵對象總人數為98人，包括公司公吿該激勵計劃時在公司(含子公司，下同)任職的董事、高級管理人員、中層管理人員和核心技術(業務)人員。
該激勵計劃有效期為自股票期權首次授予之日起和限制性股票首次授予登記完成之日起至激勵對象獲授的所有股票期權全部行權或註銷和限制性股票全部解除限售或回購註銷之日止，最長不超過48個月。
