盛新鋰能(002240.SZ)：擬以277.5萬澳元認購澳大利亞ABY公司IPO前3.4%的股份
格隆匯4月6日丨盛新鋰能(002240.SZ)公佈，公司全資香港孫公司盛熠鋰業國際有限公司(“盛熠國際”)擬以每股0.75澳元，合計277.50萬澳元(按照目前匯率摺合人民幣約1336萬元)的價格認購澳大利亞ABY公司(Abyssinian Metals Limited，“ABY公司”)370萬股股份，佔ABY公司IPO前總股本的3.4%。2022年4月6日，雙方共同簽署了《投資與股份認購協議》和《承購及銷售協議》。
Kenticha項目的產品預計首次生產開始前6個月，盛熠國際承諾不可撤銷支付預付款2000萬美金給ABY公司；雙方將在支付預付款之前，另行協商該預付款抵扣貨款的詳細時間進度計劃表。
ABY公司開發埃塞俄比亞南部奧羅米亞州的Kenticha項目，向盛熠國際銷售和交付鋰精礦產品。協議有效期從ABY公司通知產品準備裝運之日起至2025年12月31日。除非ABY公司在結束日期前另有通知，否則雙方同意本協議自結束日期起自動延長2年。
ABY公司第一個合同年提供不低於6萬噸鋰精礦，剩餘合同年內每年提供6-8萬噸鋰精礦。如ABY公司未來有多餘鋰精礦，雙方可按書面同意的條件為盛熠國際提供額外數量的鋰精礦。
ABY公司和盛熠國際將在不遲於鋰精礦預計發貨日期前3個月，參考市場相關網站公佈的基於6.0%Li2O的鋰精礦價格進行談判，並就有關批次貨物的價格達成一致。
公吿顯示，ABY公司是一家註冊在澳大利亞的電池金屬公司，在蘇丹和埃塞俄比亞等非洲國家擁有礦產資源，ABY公司的創始人和核心團隊擁有非洲主要礦山開發的豐富經驗，核心資產主要為埃塞俄比亞的Kenticha鋰礦(持有51%股權)。其中Kenticha鋰礦於1990年開始採礦，該區域具有高度礦化鋰銫鉭(LCT)偉晶巖，擁有已探明 6740萬噸鋰資源量，Li2O平均品位 1.03%，正進一步勘探開發已確定礦化的，總資源量範圍在8000-11000萬噸鋰資源量，摺合Li2O達100萬噸以上；南部、北部保留區的資源未來增長潛力大。Kenticha鋰礦整體技術、運營團隊來自原澳大利亞銀河鋰業，與盛新鋰能有着長期的良好合作，一期 20萬噸/年(摺合成 Li2CO3當量3萬噸/年)產線的鋰精礦預計將在2023年2季度開始交付，預計礦山壽命超過18年。
此公司作為領先的鋰鹽生產企業，產能規模快速增長，對鋰礦石原料的需求亦快速增長。如果此次交易事項得以順利進行，將為公司鋰鹽產能的擴張提供強有力的資源供應保障，有利於提升公司在鋰電新能源領域的競爭力、增強公司的盈利能力。
