首創環保(600008.SH)：BCG NZ擬轉讓Beijing Capital Group NZ 其企業價值為19億新西蘭元
格隆匯3月31日丨首創環保(600008.SH)公佈，公司控股孫公司首創環境控股有限公司的控股子公司BCG NZ Investment Holding Limited (“賣方”)擬轉讓所持有的Beijing Capital Group NZ Investment Holding Limited (“標的公司”)的100%股權。賣方通過非公開的多方比選競標流程確定最終買方，買方為Tui Bidco Limited，標的公司的企業價值為19億新西蘭元。
公吿顯示，買方的最終控股股東 First Sentier Investors (Australia) RE Ltd （“FSI ARE”）為一家澳大利亞公眾公司。FSI ARE是全球資產管理業務First Sentier Investors Group的一部分；First Sentier Investors Group 是在東京證券交易所和紐約證券交易所上市的 Mitsubishi UFJ Financial Group, Inc.（“MUFG”）的子公司。FirstSentier Investors 是澳大利亞最大的投資管理公司之一，截至2021年12月31日，管理着1838億美元的基金，在悉尼、紐約、倫敦、愛丁堡、都柏林、巴黎、新加坡、法蘭克福、東京和中國香港的辦事處有246名專注於投資的員工。
Waste Management NZ Limited是標的公司的主要運營主體，是標的公司從事實際經營活動的全資子公司，系一家在新西蘭註冊設立的有限公司，成立於2006年4月5日，擁有2,500,000股已發行且實繳到位的普通股，標的公司持有其100%股權，從事為住宅、商業和工業客户收集、回收、填埋固體廢物以及液體和危險廢物的收集和處理服務；註冊地址：318 East Tamaki Road, East Tamaki,Auckland, 2013, New Zealand。
新西蘭固廢處理業務自收購以來已充分貢獻了其協同價值。長期來看，鑑於全球各地經濟及政治因素的不穩定發展，潛在投資者及金融機構對股權及債務融資持更審慎態度，繼續持有該筆投資難以使公司充分受益。本次交易可改善公司現金流，獲得投資收益，優化資產負債結構，降低融資和資金成本，更加穩健可持續；此外，國內環保市場空間廣闊，為優化資源配置，聚焦國內環保市場，此次交易完成後，可將其相關資源重新集中於境內固廢領域業務，提升公司的核心競爭力。
此次交易符合公司高質量、可持續發展戰略。公司通過持續推進更快、更輕、更有效率的資產經營管理戰略，加大存量資產盤活力度、提升資產流動性。此次交易產生投資收益約7.66億新西蘭元(按照2021年12月31日匯率測算，約合人民幣30.21億元)；對歸母淨利潤影響約5.51億新西蘭元(按2021年12月31日匯率折算，約合人民幣21.75億人民幣)，最終以審計數據以及實際交割時匯率情況為準。股權轉讓價款的收回對公司現金流將有所增益，公司資產負債率將有所下降，此次股權轉讓不會對公司經營產生重大不利影響。
