福達合金(603045.SH)：擬進行重大資產置換 控股股東將變更為錦江集團、主營業務將變更為氧化鋁等產品的產銷
格隆匯3月31日丨福達合金(603045.SH)公佈重大資產置換及發行股份購買資產並募集配套資金暨關聯交易(草案)，上市公司將截至評估基準日全部資產及負債作為置出資產，與錦江集團截至評估基準日所持三門峽鋁業全部股份的等值部分進行置換，置出資產最終承接主體為王達武或其指定的最終承接置出資產載體的第三方。
根據中水致遠評估出具的中水致遠評報字[2021]第020695號評估報吿，以2021年9月30日為評估基準日，選用資產基礎法評估結果作為最終評估結論，此次交易中擬置出資產評估值為10.26億元，經各方協商確定置出資產的交易作價為10.30億元。
根據中企華評估出具的中企華評報字中企華評報字(2022)第6103號評估報吿，以2021年9月30日為評估基準日，選用收益法評估結果作為最終評估結論，此次交易中三門峽鋁業100%股權的評估值155.68億元，經交易雙方友好協商，三門峽鋁業100%股權的交易作價為155.6億元。
此次交易中，置出資產的作價為10.30億元，錦江集團所持的三門峽鋁業股權作價為48.77億元，上述差額為38.47億元，除錦江集團外，三門峽鋁業其他股東持有的三門峽鋁業股權作價為106.83億元，針對錦江集團所持資產的差額及三門峽鋁業其他股東所持的三門峽鋁業股權，由上市公司以發行股份的方式購買。
王達武和王中男擬將其分別持有的上市公司7,249,741股、406,560股無限售條件股份，合計7,656,301股股份轉讓給杭州科創(錦江集團指定主體)；各方確認，每股轉讓價格為24.82元/股，轉讓對價共計為19,002.94萬元，杭州科創以現金支付受讓目標股份的對價。
此次交易完成後，上市公司將持有三門峽鋁業100%股權，上市公司的控股股東將變更為錦江集團，實際控制人變更為鈄正剛。
此次交易中，上市公司擬採用詢價方式非公開發行股份募集配套資金，配套融資總額不超過30億元，用於錦鑫化工年產120萬噸氧化鋁項目及償還銀行貸款。
此次交易之前，福達合金主營業務為電接觸材料的生產和銷售。此次交易置出原有資產負債後，上市公司主營業務變更為氧化鋁、氫氧化鋁、燒鹼、金屬鎵等產品的生產和銷售。
