卓悦控股(00653.HK)擬9億港元出售Apex Centric Investment全部股權 訂立有限合夥協議及認購協議
格隆匯3月28日丨卓悦控股(00653.HK)公佈，於2022年3月28日，公司訂立買賣協議，據此公司同意出售，且基金同意認購目標公司Apex Centric Investment Limited全部股權，總代價為9億港元。
同日，卓悦投資（公司的全資附屬公司，且為一名有限合夥人）、CRCI（亦為一名有限合夥人）與普通合夥人訂立有限合夥協議及認購協議，據此各訂約方同意，有限合夥人須向基金供款最多5.5億港元，並受有限合夥協議條款規限。
基金的主要投資為Seed項目，其涉及基金向公司收購出售股份。於完成後，公司將向認購人發行總面值為1.1億港元的5.82億股認股權證。認股權證的發行價為零。各認股權證均附帶按每股認股權證股份0.19港元的行使價認購一股認股權證股份的權利。
根據買賣協議，於完成後，公司（或其附屬公司／聯屬實體）與基金將訂立一份租賃協議，據此，基金將向集團出租香港物業供集團使用，於完成日期起為期四年。於租賃協議期內，集團應付年度租金將為2700萬港元。該物業將由集團繼續用作其營運場所。
據悉，目標公司為一間於英屬處女羣島註冊成立的有限責任投資控股公司，且為公司的直接全資附屬公司。目標公司直接持有及擁有傲林的全部已發行股本，傲林為該物業的合法實益擁有人。傲林為一間於香港註冊成立的有限責任公司，其主要從事地產控股、租賃及提供該物業的物業管理及維護服務。
該物業目前由集團用作其營運場所。經考慮集團目前的財務狀況及業務營運以及香港的整體經濟，董事會認為出售事項乃按合理價格變現該物業價值的有利機會且出售收益亦將獲確認。出售事項所得款項為正現金流入，因此將透過增加本集團的一般營運資金來加強集團的財務狀況及流動性。透過出售事項，銀行貸款及可換股債券將獲償還，因此本集團的資產負債比率及財務成本將大幅減少。此外，由於該物業將按為期四年的正常商業期限租回予本集團，繼續用作其於香港的主要營業場所，因此出售事項對集團營運的影響甚微。
另一方面，我們董事認為，投資於基金而非出售目標集團或該物業而不保留間接股權符合集團的最佳利益，乃由於該投資使集團將能夠同時增加其投資回報及本集團的估值。基金的投資回報主要包括根據租賃協議向集團出租的租賃收入及該物業市值的潛在升值。此外，董事認為投資的條款將使集團日後在營運資金融資方面具有靈活性。
