上石化(00338.HK)擬向控股股東收購材料公司近五成股權
上石化(00338.HK)公布,董事會批准子公司上海石化投資,與控股股東中石化集團的控股子公司石化資本於今年6月30日前簽署《股權遠期轉讓協議》及《委託經營管理協議》。
根據交易協議安排,石化資本將委託上海石化投資代為行使對目標公司的經營管理權,並且上海石化投資擬於石化資本對目標公司的投資交割完成之次日起19個月內,在受託經營的基礎上,收購石化資本持有的目標公司49.91%股權。
目標公司為廊坊市飛澤複合材料科技有限公司,從事高分子材料、碳纖維複合材料及製品等。
