盛新鋰能(002240.SZ)：擬定增募資不超30億元 引入比亞迪作為戰略投資者
格隆匯3月22日丨盛新鋰能(002240.SZ)公佈，公司於2022年3月22日召開第七屆董事會第三十三次會議和第七屆監事會第二十二次會議，審議通過公司2022年度非公開發行股票相關事項。為有效實施公司發展戰略和經營規劃，公司與比亞迪股份有限公司(“比亞迪”)簽署了《附條件生效的戰略合作協議》，就戰略合作具體事宜進行約定。
公司擬通過定向發行股票的方式，引入比亞迪作為戰略投資者。公司擬向比亞迪發行不低於46,522,448股(含)且不超過69,783,670股(含)股票，發行數量不超過此次非公開發行前公司總股本的30%，且不低於發行後公司總股本的5%，發行價為42.99元/股，擬募集資金總額(含發行費用)不超過30億元(含本數)，扣除發行費用後的募集資金淨額將全部用於補充流動資金及償還債務。
作為全球新能源汽車產業的領跑者之一，比亞迪擁有龐大的技術研發團隊和強大的一體化生產能力，其開發了高度安全的磷酸鐵鋰電池和高能量密度的三元電池，廣泛應用於電動商用車和電動乘用車領域。
作為國內領先的鋰鹽加工企業，公司此次擬引入比亞迪作為戰略投資者，有助於雙方進行產業鏈合作及協同，加快實現“致力於成為全球鋰電新能源材料領先企業”戰略目標。
盛新鋰能是比亞迪的上游原材料供應商。未來隨着新能源汽車行業、儲能行業的蓬勃發展和比亞迪產能投資計劃的不斷落地，比亞迪的鋰產品的需求將會持續釋放，為雙方業務合作打下堅實的基礎，助力盛新鋰能擴大銷售規模、提升銷售業績。
同時，比亞迪擁有廣泛的新能源產業的行業資源，其全球化佈局與盛新鋰能的發展方向高度吻合。比亞迪成為盛新鋰能的戰略投資者後，將充分發揮並利用其優勢，積極協助盛新鋰能與行業內的優質企業開展合作，包括但不限於市場、渠道、品牌、技術、資源、投融資等，並提供業務拓展的戰略支撐和麪向全球的商務協同。
基於上述情況，公司引入比亞迪作為戰略投資者並開展全方位的業務合作，具備商業合理性。
