格隆匯3月22日丨洪興股份(001209.SZ)公佈，公司於近日收到公司董事、總經理周德茂、董事郭靜君出具的《關於本人親屬短線交易的情況説明》，獲悉周德茂與郭靜君的女兒周荃於2022年3月8日至2022年3月21日期間買賣公司股票，根據《中華人民共和國證券法》、《深圳證券交易所上市公司自律監管指引第1號—主板上市公司規範運作》等相關規定，上述交易構成了短線交易。
經核查，2022年3月8日至2022年3月21日，周荃證券交易賬户在二級市場交易了公司股票，具體情況如下：
根據《證券法》等相關規定，周荃女士上述股票交易行為構成短線交易。本次交易買入均價為(7182+2338+4678+4554+2233)/(300+100+200+200+100)=23.32元/股，賣出均價為23.61元/股。本次交易扣除相關費用後的淨收益是207.44元。截至公吿披露日，周荃未持有公司股份。
根據買賣成交價格情況，周荃在本次短線交易中獲得收益為人民幣207.44元，所得收益歸公司所有，由公司董事會收回其所得收益；截至公吿披露日，周荃已將本次短線交易所得的收益207.44元上交給公司。
此次短線交易系周荃根據二級市場的判斷做出的自主投資行為,周德茂、郭靜君並不知曉該交易情況，交易前後周德茂、郭靜君亦未吿知周荃關於公司經營情況等相關信息。本次交易行為為周荃在不知悉《證券法》等相關法律法規要求情形下而做出的個人操作，非主觀故意違規，交易數量和所得收益均較少，不存在利用內幕信息而交易公司股票的情況。周荃已深刻認識到此次交易行為存在的問題，對因本次短線交易而帶來的不良影響致以誠摯的歉意，承諾將進一步認真學習相關法律法規，自覺維護證券市場秩序，保證此類情況不再發生。
