中利集團(002309.SZ)：擬與阜平縣共同投建綠色低碳新能源產業基地
格隆匯3月22日丨中利集團(002309.SZ)公佈，公司全資子公司蘇州騰暉光伏技術有限公司(“騰暉光伏”)與河北省阜平縣人民政府(“阜平縣政府”)及其財政局子公司阜平眾為新能源有限公司(“眾為新能源”)簽署的《合作協議》，在未來5年，公司擬與阜平縣共同投資建設綠色低碳新能源產業基地。
甲方：阜平縣人民政府，乙方一：阜平眾為新能源有限公司(甲方財政局子公司)，乙方二：蘇州騰暉光伏技術有限公司，協議主要內容如下：
(一)擬投資項目，1、由眾為新能源與騰暉光伏合資成立“河北眾立騰暉新能技術有限公司”(“合資公司”)，註冊資本4億元。眾為新能源出資比例為51%，騰暉光伏出資比例為49%(含技術入股20％、具體以評估為準)。
2、在阜平縣政府統一規劃下，合資公司擬5年內在阜平投資建設5GW異質結電池、5GW光伏組件製造項目，總投資約為50億元。
3、擬投資建設5GW“光伏+現代農業”發電項目，項目EPC總值約為210億元。由騰暉光伏負責項目建設設計及光伏+現代農業的工程技術，引進相關新能源央企投資及持有項目(騰暉光伏已與相關央企簽署共同開發建設電站項目戰略合作協議)。
(二)合資公司擬投資建設三個5GW項目，項目分為三期建設：
第一期，本協議簽署後投資建設3GW光伏組件製造項目，建設1GW光伏+現代農業電站發電項目；
第二期，擬在2023年6月建設2GW異質結電池、2GW光伏組件製造項目，建設1GW光伏+現代農業電站發電項目；
第三期，擬在2024年建設3GW異質結電池製造項目，建設1GW光伏+現代農業電站發電項目。
協議約定，甲方對合資公司獲取“光伏+”發電項目的開發建設指標，確保前期3GW指標的申請報批並獲得批准，分別於2022年、2023年、2024年獲得建設指標批覆每年不低於1GW。後續2GW“光伏+”發電項目在上述項目建設後，根據京津冀地區市場發展情況進行申報獲得建設指標，合資公司進行建設。
騰暉光伏與阜平縣政府、眾為新能源簽署合資協議，是基於公司長期發展戰略佈局的需要，同時助力推進“雙碳”目標、實施鄉村振興戰略方面具有重要意義。
其一，根據公司2021年整體發展規劃中調整部分光纜、電纜板塊的經營模式，使公司集中財力發展光伏板塊的戰略目標，在去年拓展的四個光伏生產基地投產運營的基礎上，擬規劃新建一至兩個光伏生產基地，是公司進一步擴大光伏組件及電池片銷售業務集聚效應，有利於提升公司市場佔有率及品牌知名度，以光伏產業為主逐步發展。
其二，公司一直以來積極佈局新技術路線，本次簽約，有利於公司在 HJT等新技術領域研發成果的落地，推動公司高性能電池片及組件產品實現量產，以期拓展N型電池片及組件市場空間，具有較強的戰略意義。
其三，協議各方成立合資公司，充分發揮阜平縣區位優勢、豐富的土地資源和優異的光照條件等綜合優勢發展新能源產業。阜平縣是紅色革命老區，晉察冀軍區司令部所在地，也是習近平總書記向全國發起脱貧攻堅總動員令的地方。共同努力為阜平率先實現低碳目標和鄉村振興偉業，在阜平共同建設三個 5GW 光伏新能源項目，擬提升公司光伏產業向高質量發展，助力紅色革命老區實現綠色零碳產業及鄉村振興。
