廣汽集團(601238.SH)：廣汽埃安擬實施員工股權激勵等等、未來尋求分拆上市
格隆匯3月17日丨廣汽集團(601238.SH)公佈，2022年3月17日，公司召開第六屆董事會第10次會議，審議通過了《關於廣汽埃安實施員工股權激勵及相關事項的議案》，同意廣汽埃安採取非公開協議增資的方式，實施員工股權激勵、廣汽研究院科技人員“上持下”持有廣汽埃安股權及同步引入誠通集團、南網動能、廣州愛安作為戰略投資者，此次增資共計融資25.66億元，增資價格以經國資監管部門核准的資產評估結果(評估基準日：2021年11月30日)為基礎確定。
此次增資完成後，廣汽埃安的註冊資本將由60億元增加至約64.21億元，其中公司自身及通過全資子公司廣汽乘用車有限公司合計持股約93.45%，廣汽埃安員工股權激勵平台和廣汽研究院科技人員持股平台合計持股約4.55%，誠通集團、南網動能、廣州愛安合計持股約2%。
此次非公開協議增資行為已依程序獲得廣州市國資委(穗國資批[2022]17號文)批准。
公吿顯示，廣汽埃安新能源汽車有限公司(“廣汽埃安”)成立於2017年7月28日，是公司面向未來發展成立的創新科技公司，作為公司純電新能源汽車事業的發展載體。廣汽埃安擁有領先的智能生態標杆工廠，自2019年4月推出首款車型AION S以來，已陸續推出AION S、AION LX、AION V、AION Y等多款純電新能源汽車產品；2019年、2020年及2021年銷量分別達42,003輛、60,033輛和120,155輛，實現銷量的跨越式增長。廣汽埃安於2022年2月完成10萬輛/年的二期產能擴建，現已具備20萬輛/年產能規模，進入高速發展期。
此次廣汽埃安通過非公開協議增資方式實施員工股權激勵、廣汽研究院科技人員“上持下”持有廣汽埃安股權及同步引入滿足國有資本佈局結構調整需要的部分戰略投資者，有利於建立廣汽埃安長效激勵機制，留住人才，充分激發企業活力和廣大員工積極性，同時，建立起更加市場化的公司治理結構、更具有市場競爭力的股權架構，實現員工與企業風險共擔、利益共享，推進廣汽埃安做優、做大、做強，同時也為公司主營業務發展提供更有力支撐，進一步提升公司競爭力和盈利能力。
此次實施完成後，公司將根據廣汽埃安經營發展情況啟動廣汽埃安A輪融資及股份制改制，引入具有戰略協同性、政策引導性、市場影響力的市場化戰略投資者，切實推進廣汽埃安混改引戰工作；此後廣汽埃安將充分利用資本市場，擇時擇機擇地尋求上市，建立獨立資本市場平台，促進公司、廣汽埃安的可持續發展。
