指南針(300803.SZ)：參與重整、將取得重整後網信證券100%股權
格隆匯3月16日丨指南針(300803.SZ)公佈，網信證券因債券交易業務造成重大經營風險，嚴重資不抵債，無法清償到期債務。2021年7月16日，瀋陽中院裁定受理網信證券破產重整一案，並於2021年7月28日指定國浩律所與德恆律所聯合擔任網信證券管理人。上市公司於2021年9月報名參與網信證券有限責任公司破產重整投資人的招募和遴選，並根據《網信證券有限責任公司管理人關於公開招募和遴選重整投資人的公吿》等相關要求完成向網信證券管理人提交報名材料、繳納意向金、提交投資方案、支付投資保證金等工作。經市場化遴選流程，上市公司於2022年2月10日被確定為重整投資人。
在充分聽取各方意見後，網信證券管理人制定了《重整計劃草案》。依據《重整計劃草案》，聯合創業集團、盛京金控及恆信租賃作為網信證券原股東在網信證券中的出資人權益將調整為零，重整投資人將投入人民幣15億元重整投資款用於網信證券債務清償，並取得重整後網信證券100%股權。截至報吿書摘要出具之日，上述《重整計劃草案》尚需債權人會議等表決通過，並待瀋陽中院裁定批准。網信證券重整計劃執行完畢後，上市公司將持有重整後網信證券100%股權。
上市公司前期已向管理人支付3億元投資保證金。根據上市公司與交易對方簽署的《重整投資協議》約定，自重整計劃經瀋陽中院裁定批准之日起3個工作日內，上市公司應向管理人賬户一次性支付投資款15億元(包含公司已向管理人賬户支付的3億元投資保證金)。
管理人根據標的公司股權過户至上市公司名下的進度向債權人進行支付分配款。在標的公司股權完成過户(以上市公司在工商行政管理部門登記為標的公司持股100%的股東，標的公司取得換髮的營業執照為準)後，管理人向債權人支付。
上市公司此次交易不涉及發行股份，亦不涉及募集配套資金。
標的公司具備較為齊全的業務資質，在2018年出現經營風險前主要開展的業務包括證券經紀業務、證券自營投資業務、投資銀行業務和資產管理業務等。
