可立克(002782.SZ)：擬購買海光電子10%股權 進一步佈局磁性元器件產業
格隆匯3月11日丨可立克(002782.SZ)公佈2022年重大資產購買預案，此次交易方案為上市公司以支付現金的方式購買自然人李東海所持有的海光電子10.00%股權。此次交易前上市公司持有海光電子54.25%股權，此次交易完成後，上市公司將取得海光電子控制權。
此次交易中，上市公司擬以支付現金的方式購買海光電子10.00%股權，此次交易前12月內上市公司已通過競買方式收購海光電子54.25%股權，根據《上市公司重大資產重組管理辦法》的相關規定，對前次競買收購與此次交易合併計算相關指標。
此次交易的初步定價暫定為2228萬元，前次收購標的公司54.25%股權交易對價為1.86億元，合併計算成交額為2.08億元。
此次交易前，上市公司主營業務為電子變壓器和電感等磁性元器件以及電源適配器、動力電池充電器和定製電源等電源產品的開發、生產和銷售。公司致力於成為磁性元器件及電源解決方案的引領者。公司產品應用領域廣泛，其中磁性元器件主要應用於UPS電源、汽車電子、光伏儲能、充電樁等電子設備領域，電源產品廣泛應用於網絡通信、消費類電子、電動工具、LED照明以及工業及儀表等領域。
標的公司海光電子是國內專業研發、製造、銷售各類變壓器和電感器等磁性元器件以及提供各類磁性元器件解決方案的製造商，產品廣泛應用於信息與通信(城市智能化、網絡通訊設備)，IT(雲服務)、消費類電子(家庭智能化)以及新能源、清潔能源、高端電子儀器設備、汽車電子等高科技領域。
此次交易完成後，上市公司將取得標的公司控制權，一方面在磁性元器件產業佈局中可通過進一步整合對接國內大客户資源、完善產業體系、協同技術和人才優勢，同時佈局產業應用新市場；另一方面，此次交易完成後有利於上市公司有效開拓新的業務空間，為上市公司股東創造新的可持續盈利的增長點。因此，此次交易將有助於增強上市公司的核心競爭力和持續經營能力。
