華寶國際(00336.HK)附屬擬1.22億元收購上海奕方27%股權
格隆匯3月8日丨華寶國際(00336.HK)公吿，基於戰略規劃及業務發展需要，華寶股份(公司的非全資附屬公司)同意以總對價人民幣1.22億元現金向克瀝企業、翰盈投資和潤凱投資收購其合計持有的上海奕方27%的股權。
於2022年3月8日，華寶股份簽署股份轉讓協議。本次交易完成後，華寶股份對上海奕方的持股比例達到67%，上海奕方將成為華寶股份的控股子公司，納入華寶股份合併報表範圍。華寶股份將以現金方式支付對價。
上海奕方的業務涵蓋從上游水果種植到下游食品深加工的產業鏈環節，擁有果蔬配料領域完整的產業鏈，在果蔬加工、包埋等技術處於行業前列，水果爆爆珠等產品掌握核心競爭力，並持續開拓乳製品、烘焙等客户資源，以自主技術研發為核心、以市場需求為導向，擁有優秀的核心技術團隊、先進的細分領域研發平台，致力於為食品製造及茶飲服務等企業提供果蔬配料綜合解決方案。
近年來，華寶股份以"美味生活引領者"為願景，以"綠色、營養、健康"為使命，通過內生增長與兼併收購相結合的雙輪驅動方式，持續推進華寶股份轉型升級的發展戰略。本次收購是華寶股份發展戰略的具體執行，通過對上海奕方的收購，強化華寶股份對消費者和客户需求的洞察能力，有利於華寶股份進一步推動業務拓展，抓住國內消費升級發展機遇，發揮協同效應，增強華寶股份的核心競爭力，形成華寶股份新的利潤增長點。
本次交易完成後，華寶股份對上海奕方的持股比例達到67%，上海奕方將納入華寶股份合併報表範圍，成為華寶股份的控股子公司。華寶股份收購上海奕方後，有利於做大華寶股份食品配料板塊業務，符合華寶股份戰略發展規劃，有利於華寶股份針對性開發符合消費者需求與消費潮流的產品，增加華寶股份商業機會，提升華寶股份產品競爭力，有利於華寶股份積極整合優勢資源，進一步完善產業鏈佈局，有利於華寶股份健康長遠可持續發展。
