人瑞人才(06919.HK)擬4.08億元收購上海思芮信息科技46.0%股權
格隆匯3月8日丨人瑞人才(06919.HK)發佈公吿，2022年3月7日，公司間接全資附屬上海瑞應人才科技集團有限公司作為買方與賣方大連東軟控股有限公司訂立買賣協議，據此，賣方同意出售目標公司46.0%股權，總代價約為人民幣4.08億元。收購事項完成後，買方將有權委任目標公司董事會大部分成員。由於買方將擁有目標公司相關活動的決策權力，目標公司將成為公司的非全資附屬公司，目標公司的財務業績將於集團的財務報表內綜合入賬。
根據披露，目標公司(即上海思芮信息科技有限公司)於2013年11月7日成立，目標集團(即目標公司及其附屬公司)是一家信息技術及軟件外包服務提供商，致力於向客户提供數字化轉型及信息技術服務。目標集團憑藉以客户為導向的服務模式並通過創新及技術服務能力，為各行業客户提供解決方案及端到端的一體化流程服務，快速響應客户需求，實現高效及優質的交付，幫助客户解決業務痛點及快速實現業務目標及數字化轉型。憑藉多年的信息技術行業經驗以及淵厚知識，於2022年2月28日，目標集團在中國已為超過160名客户提供專業的信息技術及軟件外包服務，業務涵蓋逾80個城市，並有近3800名軟件開發與技術服務人員。
目標集團客户基礎廣闊及穩定，涵蓋金融、高科技、互聯網、醫療健康、先進製造等多個行業的頭部客户及極具成長潛力的客户，並與大客户開展多元化戰略合作，提供全週期行業解決方案，積極開拓創新性合作方向。目標集團在大醫療產品開發與社會服務網絡系統、移動互聯網、人工智能、物聯網、大數據等領域，具備行業解決方案能力，並在電商、物業管理、第三方支付等領域掌握核心實施場景，可進一步拓展行業客户。目標集團憑藉優質的行業服務解決方案及成本管控能力，達致相對較高的毛利率，抵禦市場波動及不明朗因素。
目標集團於全中國擁有12個支撐平台，分別位於瀋陽、大連、北京、青島、上海、南京、廣州、深圳、佛山、武漢、成都及西安，並於七個城市設有研發中心，分別位於瀋陽、廣州、北京、上海、南京、成都及青島，發揮全國佈局優勢，深化區域行業沉澱；推動自研產品落地和新技術預研；同時負責目標集團的數字化運營服務建設，助力更好的服務客户。目標集團於2020年COVID-19疫情下表現穩定，且於2020年年度根據為於COVID-19疫情下刺激經濟增長髮布的相關中國政府政策享有人民幣2190萬元的社保減免。集團一直尋求機遇擴張其規模及盈利能力，以優化股東回報。董事相信收購事項將增強集團的整體競爭力，通過擴充其業務佈局增加增長動能，以迎合不斷變化的需求，此舉於市場不明朗情況下尤為重要。
