凱普生物(300639.SZ)：擬與專業投資機構共同發起設立大健康產業基金
格隆匯3月7日丨凱普生物(300639.SZ)公佈，公司全資子公司潮州凱普生物化學有限公司(“凱普化學”)擬與深圳市招商紅樹投資有限公司(“招商紅樹”)、泰州藥城大健康產業投資合夥企業(有限合夥)(“泰州醫藥城”)、荊州產業基金管理有限公司(“荊州產業基金”) 、泰州市產業投資基金(有限合夥)(“泰州市引導基金”)及基金管理團隊跟投主體深圳荊合投資合夥企業(有限合夥)(“荊合投資”)共同投資發起設立招控大健康創新基金(暫定名，最終以工商核准登記的名稱為準，“基金”“大健康產業基金”或“合夥企業”)並簽署《招控大健康創新基金合夥協議》，該合夥企業目標認繳出資規模為人民幣10億元，首期出資總額為人民幣43301萬元。凱普化學將作為該基金的一般有限合夥人，以自有資金人民幣16550萬元認繳首期出資份額，佔首期出資總額的38.22%。該基金普通合夥人暨執行事務合夥人為招商紅樹，將認繳該基金首期出資人民幣2800萬元，佔首期出資總額的6.47%；該基金的基金管理人為招商局資本管理有限責任公司(“招商資管”)。
凱普化學擬與招商紅樹按照30%:70%的出資比例在江蘇省泰州市醫藥高新技術產業開發區註冊新設主體江蘇慧凱管理諮詢有限公司(暫定名，最終以工商核准登記的名稱為準，“江蘇慧凱”)並簽署《股東協議》。江蘇慧凱的註冊資本擬定為人民幣2830萬元，由凱普化學與招商紅樹雙方以貨幣方式出資認購，其中招商紅樹認繳出資額人民幣1981萬元，凱普化學以自有資金認繳出資額人民幣849萬元。招商紅樹在招控大健康創新基金簽約後及江蘇慧凱成立後擬將其持有的基金份額及一切權利和義務轉讓至江蘇慧凱，江蘇慧凱將作為基金的普通合夥人暨執行事務合夥人與其他合夥人共同註冊成立大健康產業基金。
此次凱普化學擬與專業投資機構共同投資發起設立大健康產業基金，大健康產業基金會圍繞公司的產業上下游，聚焦大健康領域的高成長/高確定性賽道進行投資，依託公司產業資源優勢和專業投資機構的投研和金融優勢，幫助公司尋找全球範圍內先進的技術和產品作為公司拓展商業生態的抓手，加速投資標的先進技術/產品的臨牀應用和產業落地，為公司未來利潤成長儲蓄強大的動能，強化產業協同，為公司持續快速發展和二次成長提供強有力的支持。
