輝煌科技(08159.HK)擬收購新華國投全部股本及新華國科70%股本
格隆匯3月4日丨輝煌科技(08159.HK)公吿，於2022年3月4日，公司透過其全資附屬公司：(i)按名義代價向新華國通集團有限公司收購新華國投資本有限公司("新華國投")的全部已發行股本；(ii)按名義代價向新華國通收購新華國科資本有限公司("新華國科")的70%已發行股本。
新華國投由新華國通直接全資擁有，而新華國通(i)由公司非執行董事黃斌實益擁有60%；及(ii)由中信國際資產管理有限公司實益擁有40%。
新華國科(i)由新華國通直接持有70%，新華國通由黃最終控制；及(ii)由CAS International Investment Holdings Co., Ltd.直接持有30%，而CAS International Investment Holdings Co., Ltd.則(a)由國科科技創新投資有限責任公司實益擁有36%，後者由中國科學院實益擁有；(b)由中科國際投資有限公司實益擁有34%；及(c)由CR Capital GP Joint Venture Limited實益擁有30%。
新華國投及新華國科從事投資控股，並無任何業務營運。集團擬通過新華國投(i)收購青島國投鼎成資產管理有限公司(一間與青島市級國有企業有關聯的公司)的股權，該公司專門從事協助山東省企業進行併購、重組、海外上市及融資且該公司計劃於中國發展不良資產管理及本金投資；及(ii)收購國投財富管理有限公司的股權，該公司(a)為獲保險業監管局發牌的法團，可提供保險經紀及理財服務，包括資產管理、私人銀行、融資及信託以及遺產管理服務；及(b)為於強制性公積金計劃管理局註冊的公司，可為企業及個人提供強積金及相關中介服務。
此外，在中國科學院的專業知識及資源支持下，集團將通過新華國科探索金融及技術領域的任何潛在業務或投資機會。新華國科擬收購於香港證券及期貨事務監察委員會註冊可進行第4類(就證券提供意見)及第9類(提供資產管理)受規管活動的一間持牌法團，其亦持有一間從事基金髮行、資產管理及股權投資的中國私募股權基金公司，以發展跨境風險投資及基金管理業務，藉此促進粵港澳大灣區的科學園、知識產權及相關先進技術的發展。
