太古地產(01972.HK)組建合營公司以獲取及開發一幅西安土地
格隆匯3月4日丨太古地產(01972.HK)公佈,於2022年3月4日,太古實體(該實體為太古地產的一家全資附屬公司)與平台公司西安城桓文化投資發展有限公司為組建合營公司而訂立合營章程。合營公司是為獲取項目宗地使用權而組建。如2022年3月4日簽訂的《成交確認書》所確認,由太古實體與平台公司組成的聯合體成功以人民幣25.75億元的對價競得位於西安市碑林區項目宗地的土地使用權。
合營公司將獲取及持有該土地使用權,並將主要從事項目宗地的開發。太古實體與平台公司將分別持有合營公司70%和30%股權。太古實體與平台公司須要分別向合營公司的註冊資本出資人民幣25.58億元和人民幣10.96億元。
項目宗地坐落於西安市碑林區俗稱為小雁塔歷史文化片區的街區。項目宗地為指定作商業用途的總佔地面積約為119,906平方米的土地。項目宗地的土地使用權期限為40年。
本交易符合太古地產在市區升級改造過程中建設和擁有綜合用途的開發項目,持續創造長遠價值的主要業務策略之一。項目宗地位於西安市中心,與熱門的小雁塔和西安博物院所在的園林景區相毗鄰。本項目將在西安其中一個最重要的歷史文化地標上打造世界一流的建築羣,預計建成後將成為西安的主要商圈。本交易亦符合太古地產繼續以香港和中國內地市場為重點的另一個主要業務策略。
