有線寬頻(01097.HK)：要約人持有永升72%權益 要約截止
格隆匯3月3日丨有線寬頻(01097.HK)公佈，該等要約已於2022年3月3日下午四時正截止，並無修訂或延長。於2022年2月17日下午四時正，(i)已接獲有關合共6.47億股接納股份（相當於本聯合公吿日期已發行股份總數約9.06%）的有效接納；及(ii)並無接獲購股權要約的接納。該等6.47億股接納股份連同要約人及其一致行動人士於無條件公吿日期已持有的股份合共為37.3億股股份，相當於已發行股份總數約52.29%。
於2022年2月17日後及截至最後截止日期下午四時正，(i)已接獲有關合共206.4萬股接納股份（相當於本聯合公吿日期已發行股份總數約0.03%）的有效接納；及(ii)並無接獲購股權要約的接納。
該等於要約期內接獲的6.49億股接納股份，連同要約人及其一致行動人士緊接要約期開始前已持有的股份減根據首份配售確認書、第二份配售確認書及第三份配售確認書配售的股份合共為35.69億股股份，相當於本聯合公吿日期已發行股份總數約50.03%。
於2022年2月25日後及截至2022年3月3日下午四時正，(i)要約人已接獲有關合共189.3萬股接納股份的有效接納；及(ii)並無接獲購股權要約的接納。
要約人及公司謹此聯合宣佈，永升、要約人及配售代理擬訂立最終配售確認書，據此，鎧盛證券（作為永升的配售代理）將促使獨立投資者於2022年3月4日按股份要約價購買189.3萬股股份，以將相關股權保持在50%或以下。
根據該等事前配售確認書及最終配售確認書，永升已或將根據配售配售合共1.65億股配售股份。最終配售確認書結算後，要約人將向永升轉讓1.65億股股份（相等於配售股份數量），以恢復永升於公司的股權。
在上述要約人及其一致行動人士持有的權益中，永升持有(i)30.84億股股份；及(ii)2019年長期可換股證券及2021年長期可換股證券的全部未行使本金額。
要約人於緊接要約期開始前持有永升的31.5%權益，並於要約期內DC協議及PS協議項下交易完成後收購永升已發行股份總數的40.5%。因此，要約人於交易完成後及於本聯合公吿日期持有永升的72.0%權益。
緊隨該等要約截止後及於本聯合公吿日期，待(i)過户登記處辦妥登記所有接納股份的轉讓；及(ii)根據最終配售確認書將予配售的配售股份結算後，35.67億股股份（相當於已發行股份的50.0%）由公眾持有。因此，於本聯合公吿日期，公司繼續符合上市規則第8.08(1)(a)條所載的最低公眾持股量規定。
