金侖控股有限公司(01783.HK)擬2529萬港元收購晉揚國際(香港)40%股權
格隆匯2月25日丨金侖控股有限公司(01783.HK)公吿，於2022年2月25日，公司與賣方Chun Yip International Investment Limited就收購事項訂立該協議。根據該協議，公司已有條件同意收購，而賣方已有條件同意出售銷售股份，相當於目標公司晉揚國際(香港)有限公司已發行股本的40%，代價為2529萬港元，將於完成後由公司以向賣方(或其代名人)配發及發行9000萬股代價股份的方式繳付。
目標公司為一間於香港註冊成立的有限公司。目標公司依託國際貿易及一站式回收網絡平台，通過線上回收及本地化佈局，打造再生資源行業中少數的集"科技、平台、渠道、加工及產品"為一體的國際領先科創再生資源企業之一。
於2019年，目標公司正式通過ISO9001，ISO14001及ISO45001的三標認證，並獲得香港環保署發出的四電一腦(即規定電氣設備，包括洗衣機、電視機、電腦、打印機、掃描器及顯示器)處置牌照、廢棄印刷電路板化學廢品處置牌照，及化學廢品運輸及出口牌照等資格，為香港少數可以提供一站式廢物管理的公司之一。
集團主要在香港作為總承建商提供上層結構建築和修葺、維護、改建及加建("RMAA")工程服務。誠如公司截至2021年9月30日止6個月的中期報吿所披露，由於競爭加劇，董事會預計集團的溢利及利潤率將繼續面臨壓力。董事會亦認為香港COVID-19疫情的持續狀況將會影響集團的盈利能力。
考慮到上述情況，因此集團現正探索新商機，包括擴展現有業務，以多元化其收入來源並實現長遠增長。經過審慎考慮，董事會認為香港的環保業務對公司而言為合適的長期商機。
目標公司是香港首家取得化學廢物處理許可證的回收商，涵蓋處理廢舊電動汽車電池(包括鎳氫電池及鋰離子電池)。此外，目標公司現正在加強可再生能源產業的研發，包括塑料向柴油的轉化、電動汽車電池級聯加工技術以及其他科學研究項目。
根據《香港氣候行動藍圖2050》，為在2050年前實現碳中和，同時改善空氣質素，香港環境局將全力以赴在2050年前實現交通行業的淨零發電、零汽車排放和零碳排放。因此，董事會發現香港電動汽車的普及率有所增加，因此廢棄電動汽車電池的數量也在增加。預期此將於收購事項完成後為集團帶來潛在商機。
此外，董事會認為，收購事項符合集團的擴張計劃，並可與公司日期為2022年2月25日的公吿所披露的集團其他收購事項產生協同效應，該公吿涉及收購一家從事能源解決方案項目管理公司的股權。待兩項收購事項完成後，集團及其聯繫人將能夠提供電動汽車電池回收的一站式服務，並在可再生能源市場進一步把握機遇。
