*ST銀億(000981.SZ)：2月25日起復牌
格隆匯2月25日丨*ST銀億(000981.SZ)公佈，此次資本公積轉增股本以公司現有總股本4,027,989,882股為基數，按照每10股轉增6.48股的比例實施資本公積金轉增股票，共計轉增2,610,137,444股股票；轉增後，銀億股份總股本將由4,027,989,882股增加至6,638,127,326股，再以6,638,127,326股為基數，按照每10股轉增5.06股的比例實施資本公積轉增，共計轉增3,359,343,562股股票。其中1,431,951,114股股票向股權登記日收盤後除原控股股東及其支配的股東以外的全體股東進行分配，轉增比例約為每10股轉增12.291177股，預計前述股東於2022年2月23日收盤後、2022年2月25日開盤前取得轉增的股份，該部分股份的上市交易日期為2022年2月25日。
根據公司管理人與重整投資人簽署的《銀億股份有限公司重整投資協議》的約定：轉增股票自登記至其名下之日起三十六(36)個月內不通過二級市場公開減持(登記日以中國結算深圳分公司實際登記至重整投資人指定證券賬户之日為準)，但其持有前述轉增股票之後在同一實際控制人控制的不同主體之間(含子公司)進行協議轉讓、無償劃轉、實施增資不受前述減持限制；除前述不受減持限制的情形之外，任何受讓前述重整投資人轉增股票的第三方均應繼續受前述承諾的約束。
由於本次資本公積金轉增股本系《銀億股份有限公司重整計劃》中重要組成部分，不同於一般意義上的分紅、送股，公司根據《深圳證券交易所交易規則（2021年3月修訂）》第4.4.2條的規定，調整除權參考價格計算公式。根據調整後的資本公積轉增股本除權參考價格的計算公式，本次資本公積轉增股本後，公司股票除權參考價格為2.10元/股。
公司股票將於2022年2月25日開市起復牌。
