中集集團(000039.SZ)：擬籌劃控股子公司中集世聯達分拆上市
格隆匯2月24日丨中集集團(000039.SZ)公佈，公司(與其子公司合稱“集團”)於2022年2月24日召開第九屆董事會2022年度第一次會議，審議同意公司籌劃控股子公司中集世聯達物流科技(集團)股份有限公司(簡稱“中集世聯達”)分拆在境內首次公開發行人民幣普通股(A股)股票並在深圳證券交易所上市(以下簡稱“本次分拆上市”)，並授權公司及中集世聯達管理層啟動中集世聯達分拆上市的前期籌備工作。
近年來，受益於國內國際“雙循環”新發展格局，“一帶一路”貿易持續深化，物流行業持續快速發展。為抓住行業發展機遇，中集世聯達通過本次分拆上市進一步推動其自身的發展，擴張運力、完善多聯網絡建設，提升企業專業化經營水平，從而進一步降低單位運營成本，提高市場競爭能力，為中集集團整體業務的發展和盈利能力的提升貢獻更大的力量。另外，成為上市公司，有助於中集世聯達進一步提升品牌知名度，增強市場影響力，有利於吸引和留住業務領域的優秀人才，對推動中集世聯達業績持續增長起到更加積極的作用。
公吿稱，公司希望充分利用資本市場改革的有利時機和政策的大力支持，分拆中集世聯達於A股獨立上市，促進中集世聯達的業務規模擴大和進一步提升經營效率和水平。通過分拆上市，中集世聯達將實現與資本市場的直接對接，充分發揮資本市場對實體經濟的支持作用。未來中集世聯達可藉助資本市場平台進行各項資本運作，為中集世聯達的持續發展提供充足的資金和資源保障。
本次分拆上市，將進一步促進中集世聯達治理規範化、現代化以及提升治理透明度和規範化水平，為中集世聯達未來高質量發展奠定堅實治理機制保障。本次分拆上市是公司響應國內資本市場政策號召、利用資本市場促進實體經濟發展、推動上市公司做優做強及高質量發展的重要舉措。
公司是全球領先的物流及能源行業設備及解決方案供應商，目前主要從事集裝箱、道路運輸車輛、能源/化工/液態食品裝備、海洋工程裝備、空港裝備的製造及服務業務，除此之外，集團還從事物流服務業務和金融及資產管理業務等。集團通過業務拓展及技術開發，已形成一個專注於物流及能源行業的關鍵裝備及解決方案的產業集羣。公司本次分拆中集世聯達上市有利於鞏固和提升物流服務板塊的競爭力。
中集世聯達A股上市後，公司仍是中集世聯達的控股股東，不會喪失對中集世聯達的控制權。
