大族激光(002008.SZ)：大族光電擬實施員工持股計劃並引進戰略投資者高瓴裕潤、高新投創業等等
格隆匯2月22日丨大族激光(002008.SZ)公佈，為增強公司及其控股子公司深圳市大族光電設備股份有限公司(“大族光電”)的凝聚力、維護大族激光和大族光電的長期穩定發展，建立利益共享、風險共擔的長效激勵約束機制，吸引和留住人才，充分調動員工積極性、主動性和創造性，兼顧員工與大族激光、大族光電的長遠利益，擬由部分大族激光董事、高級管理人員及核心員工直接投資大族光電，此外大族激光及其控股企業(不含大族光電及其控股企業；下同)的其他核心員工共同投資深圳市族電聚賢諮詢合夥企業(有限合夥)(“大族激光員工持股平台”或“族電聚賢”)，同時由部分大族光電董事、監事和高級管理人員、大族光電及其控股企業的其他核心員工共同投資深圳市合鑫諮詢合夥企業(有限合夥)(“大族光電員工持股平台”或“合鑫諮詢”)，並由上述員工通過大族激光員工持股平台、大族光電員工持股平台(以下合稱“員工持股平台”)對大族光電進行增資，投資總額不超過141,025,641.03元。
為優化大族光電股權結構，有效推進大族光電內外部資源整合，進一步提升大族光電的競爭力，大族光電擬於本次員工持股計劃實施的同時，通過增資擴股方式引進北京高瓴裕潤股權投資基金合夥企業(有限合夥)(“高瓴裕潤”)、深圳市高新投創業投資有限公司(“高新投創業”)、深圳市高新投致遠一期股權投資基金合夥企業(有限合夥)(“高新投致遠”)、深圳市小禾創業投資合夥企業(有限合夥)(“小禾創業”)、中信證券投資有限公司(“中證投資”)五方戰略投資者，投資總額不超過141,025,641.02元。
此次增資定價按照大族光電100%股權投前估值人民幣100,000萬元確定，入股價格約為人民幣9.86元/股，增資總金額合計不超過282,051,282.05元。
此次增資前後股權結構變化：
此次公司控股子公司大族光電引入戰略投資人符合公司戰略發展規劃，有利於大族光電增強資本實力，優化股權結構，健全激勵機制；同時，引入員工持股平台有利於充分調動員工積極性、主動性和創造性，促進員工與企業共同成長和發展，有助於公司長期、持續、穩健的發展。
此次增資完成後，公司對大族光電的持股比例將由76.00%變更為59.28%，公司仍為大族光電的控股股東。
