億嘉和(603666.SH)：擬推2022年股票期權與限制性股票激勵計劃
格隆匯2月21日丨億嘉和(603666.SH)公佈2022年股票期權與限制性股票激勵計劃(草案)，該激勵計劃擬授予激勵對象權益總計393.63萬份，涉及的標的股票種類為人民幣A股普通股，約佔該激勵計劃草案公吿日公司股本總額20,655.0400萬股的1.91%。
其中，首次授予權益總數為315.63萬份，佔該激勵計劃擬授出權益總數的80.18%，約佔該激勵計劃草案公吿日公司股本總額的1.53%；預留78.00萬份，佔該激勵計劃擬授出權益總數的19.82%，約佔該激勵計劃草案公吿日公司股本總額的0.38%。
(一)股票期權激勵計劃：該激勵計劃擬授予激勵對象股票期權191.00萬份，涉及的標的股票種類為人民幣A股普通股，約佔該激勵計劃草案公吿日公司股本總額的0.92%。其中首次授予153.00萬份，預留38.00萬份。該計劃下授予的每份股票期權擁有在滿足生效條件和生效安排的情況下，在可行權期內以行權價格購買1股公司人民幣A股普通股股票的權利。
(二)限制性股票激勵計劃：該激勵計劃擬授予激勵對象限制性股票202.63萬股，涉及的標的股票種類為人民幣A股普通股，約佔該激勵計劃草案公吿日公司股本總額的0.98%。其中首次授予162.63萬股，預留40.00萬股。
該激勵計劃授予的股票期權(含預留)的行權價格為 52.38元/股，限制性股票(含預留)的授予價格為32.74元/股。
該激勵計劃首次授予的激勵對象共計176人，包括公司公吿該激勵計劃時在公司(含子公司，下同)任職的董事、高級管理人員、核心管理/技術/業務人員。不含單獨或合計持股5%以上的股東或實際控制人及其配偶、父母、子女，以及獨立董事、監事。
該激勵計劃有效期為自股票期權首次授權日起和限制性股票首次授予日起至激勵對象獲授的所有股票期權全部行權或註銷和所有限制性股票全部解除限售或回購註銷完畢之日止，最長不超過60個月。
