恆宇集團(02448.HK)擬1.05億元收購宏智融資全部股權
恆宇集團(02448.HK)公吿，根據公司與賣方的談判，於2022年2月21日，公司與賣方梁立權及目標公司宏智融資有限公司訂立了買賣協議。公司有條件同意收購及賣方有條件同意出售銷售股份，即目標公司宏智融資有限公司全部股權，代價為港幣1.05億元。
宏智融資有限公司為一家在香港註冊的有限公司並持有香港證監會發出牌照，可進行第六類受規管活動(就機構融資提供意見)。
集團近年主力發展金融業，一直物色及尋求業務及投資機遇，以加強其核心金融業務及擴大收入來源。自2020年起，集團透過旗下的子公司提供證券交易、投資建議及資產管理的金融業務；而恆宇資產管理旗下的全資子公司恆宇創富開放式基金型公司，亦已獲證監會批准成為開放式基金型公司，為專業投資者提供上市前基金服務。
此外，恆宇資產管理旗下的全資子公司恆宇創富(廣東)私募基金管理有限公司，亦獲中國珠海橫琴新區金融和財政局發出合格境外有限合夥人牌照(QFLP)，可在全國進行私募股權投資及創業投資基金管理服務。集團已於珠海橫琴設置中國區總部及於山西，青島及安徽開設分部。集團逐步擴大金融業的版圖，冀將業務輻射全國。
董事會相信，收購事項能助力本集團在金融業務的發展，加速於大灣區擴大版圖，包括以下原因：
i.目標公司的高級管理層擁有豐富的企業上市及企業交易經驗，並具備資格擔任新股於聯交所申請上市的保薦人及或其合規顧問。其主要業務包括協助公司開展新股首次公開發售("首次公開發售")；為不同的企業諮詢服務擔任獨立財務顧問或財務顧問；包括但不限於為企業提供收購及處置、股權及債務融資、企業重組及其他財務諮詢服務；以及根據上市規則的要求，就合規相關事項向上市公司提供建議，因此本公司相信是次收購事項極具商業潛力，能大大推動香港的業務發展，開拓更多收入來源。
ii.集團在內地擁有強大的網絡，並已建立多個分支機構，有助目標公司發掘更多內地客源，協助在內地的有潛質企業來港上市。
iii.此外，藉着是次收購事項，本集團可接觸更多機構客户，協同效應下，有利本集團的多元發展及提高前景。
iv.集團旗下子公司擁有第一、四及九類牌照，收購事項讓本集團獲得第六類金融牌照，擴大金融業的領域，成為一家能提供一站式綜合金融服務的企業，包括上市前融資、新股上市、新股包銷、賬簿管理人、託管、配售，有效地整合資源，減低營運成本。
