沃格光電(603773.SH)：擬推第二期股票期權與限制性股票激勵計劃
格隆匯2月21日丨沃格光電(603773.SH)公佈第二期股票期權與限制性股票激勵計劃(草案)，該激勵計劃包括股票期權激勵計劃和限制性股票激勵計劃兩部分。股票來源為自二級市場回購或向激勵對象定向發行的公司的 A股普通股。截至該激勵計劃草案公吿當日，公司已完成從二級市場上回購公司2,061,700股A股普通股，佔該計劃公吿時公司股本總額122,355,713股的1.69%。
該激勵計劃擬向激勵對象授予權益總計465.17萬份，涉及的標的股票種類為人民幣A股普通股股票，約佔該激勵計劃草案公吿時公司股本總額的3.80%。
其中，首次授予418.17萬份，約佔該激勵計劃草案公吿時公司股本總額的3.42%，佔本次擬授予權益總額的89.90%；預留授予47.00萬份，約佔該激勵計劃草案公吿時公司股本總額的0.38%，佔本次擬授予權益總額的10.10%。預留部分未超過本次擬授予權益總額的20%。授予情況具體如下：
(一)股票期權激勵計劃：公司擬向激勵對象授予259.00萬份股票期權，涉及的標的股票種類為人民幣A股普通股股票，約佔該激勵計劃草案公吿日公司股本總額的2.12%，其中首次授予229.00萬份股票期權，預留授予30.00萬份股票期權。激勵對象獲授的每份股票期權在滿足行權條件的情況下，擁有在有效期內以行權價格購買1股公司股票的權利。
(二)限制性股票激勵計劃：公司擬向激勵對象授予206.17萬股限制性股票，涉及的標的股票種類為人民幣A股普通股股票，約佔該激勵計劃草案公吿日公司股本總額的1.69%，其中首次授予189.17萬股限制性股票，預留授予17.00萬股限制性股票。
該激勵計劃授予的股票期權的行權價格(含預留部分)為19.04元/份，限制性股票的授予價格(含預留部分)為10.58元/股。
該激勵計劃首次授予的激勵對象總人數為61人，為公司公吿該激勵計劃草案時在公司任職的董事、高級管理人員、核心骨幹人員及董事會認為應當激勵的其他人員。
該激勵計劃有效期為自股票期權首次授權日和限制性股票首次授予登記完成之日起至所有股票期權行權/註銷之日和限制性股票解除限售/回購註銷完畢之日止，最長不超過48個月。
