格隆匯2月21日丨韓建河山(603616.SH)公佈股票交易異常波動公吿，公司股票於2022年2月17日、2月18日、2月21日連續三個交易日內收盤價格漲幅偏離值累計達到20%以上，根據《上海證券交易所交易規則》的有關規定，屬於股票交易異常波動情形。

限售股流通上市減持風險。公司非公開發行限售流通股已於2022年2月9日解除限售並上市流通，前述股票數量為88,008,000股，佔公司總股本的23.08%，如出現上述相關股東在二級市場上減持解禁股份的情形，可能會對市場造成一定衝擊，敬請投資者予以關注，並注意投資風險。
二級市場交易風險。公司股票於2022年2月17日、2月18日、2月21日連續三個交易日內收盤價格漲幅偏離值累計超過20%，根據《上海證券交易所交易規則》的有關規定，屬於股票交易異常波動情形。?市盈率顯著偏高風險。截至2022年2月21日收盤，公司靜態市盈率為142.91倍，顯著高於上市公司同行業平均水平。公司鄭重提醒廣大投資者理性投資，注意投資風險。
公司主營業務毛利率低於公司同行業平均水平。公司主營業務為生產製造預應力鋼筒混凝土管(PCCP)，PCCP業務收入佔總營業收入的49.37%，毛利率為16.13%，PCCP業務毛利率普遍低於公司同行業平均水平。
商譽減值風險。公司目前商譽賬面原值為3.96億元，如子公司未來經營業績未達到預期指標，存在計提商譽減值準備風險。
債權餘額較大風險。公司2021年第三季度末應收賬款與合同資產合計8.01億元，佔當期資產總額的比重為32.56%，存在一定的回收風險。
控股股東股票司法凍結風險。公司控股股東北京韓建集團有限公司持有的公司41,863,031股，因仲裁保全被司法凍結，佔其所持公司股份比例為31.31%，佔公司總股本的比例為10.98%。
