飛樂音響(600651.SH)：擬掛牌出售飛樂投資100%股權 將剝離虧損照明業務
格隆匯2月21日丨飛樂音響(600651.SH)公佈重大資產出售預案，飛樂音響擬通過在上海聯交所公開掛牌轉讓的方式，出售持有的飛樂投資100%股權。掛牌交易條件為摘牌方需為飛樂投資對飛樂音響的全部債務及飛樂投資的銀行負債清償承擔連帶擔保責任及提供相應的資產擔保。
此次交易的交易對方將根據上述國有產權公開掛牌結果確定，交易對方以現金方式支付此次交易對價。如公開掛牌未能徵集到符合條件的交易對方或未能成交，則公司將重新召開董事會審議標的資產的後續處置事宜。
此次交易的相關審計、評估工作尚在進行中，標的資產最終的交易價格也尚未確定，根據標的資產未經審計的財務數據，預計標的資產最近一個會計年度所產生的營業收入占上市公司同期經審計的合併財務會計報吿營業收入的比例達到50%以上，根據《上市公司重大資產重組管理辦法》的相關規定，此次交易預計將構成重大資產重組。
截至預案簽署日，此次交易的相關審計、評估工作尚在進行中，標的資產的評估值和交易作價均尚未確定，且最終交易價格以國有產權公開掛牌結果為準。
此次交易前，上市公司的核心業務包括智能硬件產品、解決方案和檢驗檢測三大板塊，其中，智能硬件板塊包括汽車照明、車身控制、模塊封裝、芯片測試服務、智慧照明等業務；解決方案板塊包括智慧水務、智能製造及工業互聯網安全等業務，公司致力於成為領先的智能硬件及工業智能解決方案提供商。
飛樂投資以喜萬年集團為核心，主要業務為光源及燈具產品批發零售及照明工程渠道項目，通過旗下Sylvania、Lumiance和Concord三大特色品牌，聚焦不同細分市場。因飛樂音響的戰略調整，2022年1月28日，公司第十二屆董事會第七次會議審議通過了飛樂音響將其持有的全資子公司亞明照明和飛樂建設的全部股權無償劃轉至其全資子公司飛樂投資的相關事項，此次劃轉事項已經公司2022年2月15日召開的2022年第一次臨時股東大會審議通過，尚需獲得國資監管有權機構審核批准後方可實施。
此次劃轉完成後，飛樂投資將持有亞明照明和飛樂建設100%的股權，飛樂投資成為飛樂音響照明業務的管理平台。近年來，飛樂投資、亞明照明、飛樂建設經營狀況不佳，處於持續虧損狀態，對上市公司的整體經營發展造成較大拖累。
通過此次交易，上市公司可剝離虧損照明業務，從而提高公司持續經營能力，有利於公司改善資產質量和財務狀況，促進自身業務升級轉型，進一步優化資產結構，增強核心競爭力，實現公司可持續發展。
此次交易完成後，飛樂音響將不再持有飛樂投資股權，飛樂投資將不再納入飛樂音響合併報表範圍。
