新疆天業(600075.SH)：天業匯祥擬與天合意達及合同第三方分別簽訂權利義務轉讓協議
格隆匯2月17日丨新疆天業(600075.SH)公佈，為推動高碳能源低碳化利用，實現全流程碳排放量的降低，採用煤化工與氯鹼化工的有機耦合方式，通過技術創新實現煤從燃料向原材料的屬性轉變，實現低碳綠色發展，新疆天業匯祥新材料有限公司(“天業匯祥”)建設實施年產25萬噸超淨高純醇基精細化學品項目。
鑑於新疆天合意達投資有限公司(“天合意達”)已與北京石油化工工程有限公司簽訂《年產25萬噸超淨高純醇基精細化學品項目(乙醇項目設計)建設工程設計合同》(“《設計合同》”)，約定年產25萬噸超淨高純醇基精細化學品項目設計事宜；已與延長中科(大連)能源科技股份有限公司簽訂《25萬噸／年合成氣制乙醇(DMTE)裝置專利實施許可合同》(“《專利許可合同》”)，約定授予天合意達25萬噸／年DMTE專利技術的許可事宜，同時許可使用專利辦理專利許可備案手續。上述合同金額分別為1200萬元、3400萬元，已分別支付120萬元、1360萬元合同款。因該項目主體已由天合意達變更為天業匯祥，天業匯祥辦理了項目主體變更立項備案，建設規模及建設內容未改變。
為保障《設計合同》《專利許可合同》順利履行，天業匯祥與天合意達、合同第三方經協商一致，就《設計合同》《專利許可合同》權利義務轉讓事宜，簽訂《權利義務轉讓協議》，同意將《設計合同》《專利許可合同》中天合意達的權利義務全部轉讓給天業匯祥，天合意達已向合同第三方支付的1480萬元款項所對應的權利與義務由天業匯祥享有及承擔，天業匯詳無需再向合同第三方支付前述費用，已支付的前述費用由天業匯詳支付給天合意達，《設計合同》《專利許可合同》約定的未履行完畢的權利和義務，由天業匯祥與合同第三方繼續履行。公司董事會同意全資子公司天業匯祥與天合意達、合同第三方分別簽訂上述項目權利義務轉讓協議。
此次天業匯祥擬與天合意達及合同第三方分別簽訂《權利義務轉讓協議》關聯交易，變更項目合同實施主體，是為了建設實施年產25萬噸超淨高純醇基精細化學品項目需要，變更後的項目實施主體天業匯詳為公司全資子公司。上述項目建設，採用煤化工與氯鹼化工的有機耦合方式，通過技術創新實現煤從燃料向原材料的屬性轉變，實現低碳綠色發展，探索高端化、差異化路線，推動能源低碳化利用，實現全流程碳排放量的降低，為公司優化產品結構、加強成本控制提供有利條件，進而提升公司抵禦市場波動風險的能力，預計將對公司未來發展產生一定積極影響。
該項關聯交易為偶發性關聯交易，符合公司圍繞氯鹼化工主業，依託新疆地區礦產資源富集優勢，完善產業鏈的整體發展戰略需要，對公司財務狀況和經營成果無不利影響。
