大山教育(09986.HK)擬收購河南中之創教育信息諮詢60%股份 代價為100萬元
格隆匯2月14日丨大山教育(09986.HK)公吿，於2022年2月14日，受讓人鄭州大山雲效科技有限公司(為公司全資附屬公司)、轉讓人(白亞東、朱巖軍)與目標公司河南中之創教育信息諮詢有限公司訂立股權轉讓協議，據此(其中包括)受讓人同意向轉讓人收購目標公司於股本削減後的股權總額合共60%，代價為人民幣100萬元。
目標集團主要從事為成年人提供電腦科學及資訊科技的職業培訓及技術教育。其提供實體實務及技術課程，例如Java編程、網站開發、用户介面及用户體驗設計及H5發展，令學員學習資訊科技行業需求不斷增長的資訊科技技能。其亦於有需要時不時透過第三方線上平台為有關科目提供線上課程。經過短短三年營運，其已成為發展成熟的機構，為河南省知名的資訊科技職訓品牌，收入急遽增長。
中國政府一直改革教育體制，並頒佈《關於進一步減輕義務教育階段學生作業負擔和校外培訓負擔的意見》，以減輕學生的作業及校外培訓負擔。
該意見項下的政策繼續為集團現有業務的挑戰。本集團已掌握機會重新評估其現有業務及資源，同時考慮行業不可避免的轉變及市場趨勢，以適應新的監管環境。鑑於冠狀病毒病的情況，當其現有業務透過提供線上課程的方式維持營運的同時，本集團亦積極發掘機會及重新劃撥資源，以擴充其業務至涵蓋其他類型的服務。經審慎研究及評估，本集團計劃專注於其提供三種主要類別服務的新業務，即(i)針對高中生及成年人的職業教育；(ii)針對兒童及青少年的藝術、體育及編碼編程課外個人素質課程；(iii)海外教育顧問。
集團已展開其課外課程及海外教育顧問的業務營運的自然增長。於公吿日期，集團有關其舞蹈、藝術及編程課外課程的籌備工作已達後期階段，據此，集團已(i)招聘經驗豐富的導師及培訓人員以提供有關課外課程；(ii)設立教學中心以與現有自家教育中心或於新租賃場地提供新課程；及(iii)招攬學生修讀所提供的新課程。
此外，集團已建立五個培訓中心，提供如籃球等體育課外課程，而該等課程已於2021年最後一季開課。再者，集團已於2021年12月十九日在鄭州市開設一間中心，為有意海外升學的學生提供顧問服務，並已開始藉收取顧問費產生收入。
基於目標集團的往績記錄，董事相信，收購事項及整合目標集團將為集團開拓新業務帶來協同效益及空間，併為集團引入新收入增長。
