立方數科(300344.SZ)：與三峽電能簽署戰略合作框架協議 涉及新能源項目開發、能源數字化管理服務
格隆匯2月14日丨立方數科(300344.SZ)公佈，公司於近日與三峽電能(上海)有限公司(“三峽電能”或“甲方”)簽署了《戰略合作框架協議》，基於發揮各自專業優勢、共同開發市場資源、實現資源共享、客户共享、優勢互補、共同發展。
協議主要內容如下：
1、新能源項目開發
甲方作為三峽集團智慧綜合能源發展平台，擁有豐富的新能源投資開發經驗。基於甲方產業背景及項目經驗優勢，結合乙方的領先BIM技術優勢及廣泛的渠道資源，甲乙雙方以工商業分佈式光伏、農村户用光伏、建築光伏一體化（BIPV）等光伏發電及新能源多方面應用為突破口，整合雙方已有和潛在項目資源，共同進行新能源項目開發，所有項目擬由甲方主要負責實施落地。合作模式包括但不限於組建合資公司；或由甲方牽頭，聯合甲方關聯公司或一致行動人與乙方共同發起設立綜合能源產業基金，緊密圍繞三峽集團主責主業，深耕分佈式光伏與綜合能源服務領域，投向光伏發電、儲能、充電站、能效管理、用能監控、碳資產管理等。甲乙雙方通過上述合作，建立優質項目的獲取渠道，並擬通過資產證券化、併購等市場化方式退出以取得合理項目收益。
2、能源數字化管理服務
乙方擁有完善的BIM生態體系，包括BIM工具軟件開發能力以及基於BIM平台打造的能源管理一體化軟件。基於乙方在BIM領域成熟的解決方案積累，可為甲方提供以BIM平台為基礎的能源、能耗及碳資產管理服務，服務範圍包括但不限於全面覆蓋規劃、設計、施工、運營-資產管理、物業管理等工程項目全生命週期。
乙方將配合甲方建立先進、高效，覆蓋電站監控、發電機組狀態檢修、水情風力光照監測、水庫調度、電力調度、發電設備安全監測監控、泥沙分析等各項業務的信息系統，提高電力生產和流域梯級聯合調度數字化水平。同時為甲方清潔能源上下游產業提供數字基礎設施保障，建設工控系統為主要目標的網絡安全靶場，開展國家關鍵信息基礎設施網絡安全綜合防護演練。加快建設甲方天空地一體化大數據綜合服務平台，助力“新基建”，推動數字經濟和實體經濟融合發展，推進重點領域數字產業發展，全面護航甲方的數字化轉型大戰略。
3、合作期限
框架合作期限為24個自然月。屆滿之時經雙方書面同意可以展期。
此次簽署《戰略合作框架協議》，是公司戰略佈局的重要體現。公司與三峽電能達成合作關係，共同開發市場資源、開展深度合作，有利於實現互惠雙贏和促進公司業務發展，擴充公司技術應用場景，增強公司整體競爭力和盈利能力，提升公司未來經營業績，有利於公司持續健康穩健發展。
