匯聚科技(01729.HK)獲立訊精密摺讓約1.23%提要約收購
格隆匯2月11日丨匯聚科技(01729.HK)公吿，公司於2022年2月11日獲要約人立訊精密有限公司及賣方(Datatech Investment Inc、Time Interconnect Holdings Limited)吿知，賣方與要約人訂立買賣協議，據此，賣方同意出售，要約人同意購買銷售股份(即合共13. 8億股股份，其中2.0493億股股份，相當於聯合公吿日期已發行股份約11.09%，來自第一賣方Datatech Investment Inc("首批銷售股份")及11.7507億股股份，相當於聯合公吿日期已發行股份約63.58%，來自第二賣方Time Interconnect Holdings Limited("第二批銷售股份"))，相當於聯合公吿日期已發行股份約74.67%，現金代價總額為11.04億港元(即每股0.80港元)。
於聯合公吿日期，要約人及其一致行動人士概無於股份擁有任何權益。緊隨所有銷售股份交割後，要約人將擁有13.8億股股份(相當於聯合公吿日期已發行股份約74.67%)的權益。倘首批銷售股份的交割未能發生，要約人及第二賣方仍可繼續交割第二批銷售股份。倘首批銷售股份的交割未能發生且第二批銷售股份的交割發生，則緊隨第二批銷售股份交割後，要約人將擁有11.7507億股股份(相當於聯合公吿日期已發行股份約63.58%)的權益。
倘所有銷售股份或第二批銷售股份的交割發生，鑑於要約人因收購事項將獲得公司30%以上的投票權，根據收購守則規則26.1，要約人將須就所有已發行股份(要約人及其一致行動人士已經擁有的股份除外)作出強制性無條件現金要約。
根據收購守則規則13，要約人將向要約購股權持有人作出適用現金要約以註銷所有要約購股權。倘第二批銷售股份的交割未能發生而首批銷售股份的交割發生，則緊隨首批銷售股份交割後，要約人將擁有2.0493億股股份(相當於聯合公吿日期已發行股份約11.09%)的權益，且要約人將無須根據收購守則規則26.1作出強制性現金要約。
每股要約股份0.80港元的股份要約價較2022年2月11日(即最後交易日)聯交所所報每股股份的收市價0.81港元折讓約1.23%；要約人擬於要約截止後維持股份於聯交所的上市地位。
要約人為一家於香港註冊成立的有限公司，且為立訊精密(一家於中國註冊成立且於深圳證券交易所上市的有限公司(股份代號：002475))的全資附屬公司。要約人為立訊精密及其附屬公司的貿易公司，並接受立訊精密及其附屬公司的業務訂單。立訊精密主要從事消費電子、通信、汽車電子及醫療保健領域產品的研發、製造及銷售。立訊精密的最終控股公司為立訊有限公司。要約人與立訊精密最終由王來春及王來勝控制。
