新亞製程(002388.SZ)：擬以2.19億元收購惠州相關土地使用權及房屋建(構)築物
格隆匯2月11日丨新亞製程(002388.SZ)公佈，公司為適應公司中長期戰略發展需要，擬以自有資金向惠州市彩玉微晶新材有限公司(“彩玉微晶”)購買其所持有的位於廣東惠州博羅縣楊村鎮金楊工業區，合計面積為150069平方米的土地使用權和麪積為87838.72平方米房屋建(構)築物。
公司已聘請具有執業證券、期貨相關業務評估資格的深圳中洲資產評估有限公司對上述標的資產進行了評估，此次交易的標的資產的評估價值為人民幣21853.46萬元。經雙方協商確定，以評估價值人民幣21853.46萬元作為此次交易的成交價格。
公司與彩玉微晶皆受同一實際控制人徐琦控制，根據《深交所股票上市規則》的相關規定，此次交易構成關聯交易，但不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。
公司目前自有產權不能滿足生產經營需要，尤其是公司兩大生產型子公司深圳市新亞新材料有限公司及深圳市庫泰克電子材料技術有限公司(“兩大生產型子公司”)自2010年起其生產經營場所均為租賃形式，目前租賃場所在未來兩年可能面臨到期後無法續簽的風險，該交易達成後，能夠較大緩解公司與子公司日常的生產經營用地的現時需求，為生產經營提供必要的保障。
公司兩大生產型子公司致力於電子膠水為主的化工新材料的研發與生產，其產品廣泛應用於消費電子，目前正積極拓展產品在新能源汽車、光伏電站、儲能電池系統、MINILED等領域的應用。受制於租賃期限、場地規模、深圳市城市更新規劃等各項因素，在市場需求充沛的背景下，目前租賃場地難以適應市場進行有效產能擴充及中長期投入，目本次交易完成後，將為公司產能擴充及產業升級提供便利條件，有利於公司進一步擴大生產經營、提升收入水平和企業規模。
受制於生產經營場地受限及產能擴增需求，深圳市新亞新材料有限公司已於2020年將部分生產前端工廠租賃於標的資產上，為後續產業轉移承接奠定了良好基礎。此次標的資產中土地使用權及房屋建(構)築物均具有優良的完整性，有利於提高公司產業承接的時效，為公司後續可持續發展提供穩定的產業發展空間。
