*ST銀億(000981.SZ)：擬與浙商資管旗下杭州信誠、北控發展旗下北置基金設合資公司
格隆匯2月11日丨*ST銀億(000981.SZ)公佈，公司作為在不動產領域具有多年經驗積澱的上市企業，具備在不動產領域綜合開發管理、銷售、物業、商管等全產業鏈服務優勢，在新的宏觀經濟發展形勢下，公司積極尋找戰略突破。為有效實現戰略落地、促進產業轉型升級，實現公司高質量發展，公司積極尋找戰略合作伙伴。
目前公司將與在AMC行業具有品牌、資源、資金等優勢的地方AMC浙江省浙商資產管理有限公司(“浙商資管”)，以及在北京及全國範圍城市更新、物業服務等領域均有較強競爭優勢的北京北控城市發展集團有限公司(“北控發展”)組建合資運營服務商，各方積極發揮在產業導入、資源整合、不良資產領域的投資管理優勢，不僅能夠充分發揮公司在不動產開發、高端製造領域的產業優勢，各方還要積極探索在新能源汽車、半導體、併購重組等領域更深層的合作，為此，公司擬與浙商資管下屬子公司杭州信誠馳業股權投資合夥企業(有限合夥)(“杭州信誠”)、北控發展下屬子公司北京北置城發產業基金管理有限公司(“北置基金”)共同發起成立浙管億城(杭州)投資管理有限公司(暫定名，最終以工商註冊登記為準，“合資公司”)。
該合資公司註冊資本擬為人民幣2000萬元，其中：杭州信誠以自有資金出資680萬元，持股比例34%；銀億股份以自有資金出資700萬元，持股比例35%；北置基金以自有資金出資620萬元，持股比例31%。
在上述各方戰略合作的背景下，為構建特殊資產投資載體，實現專業化、市場化的運作管理模式，公司下屬全資子公司上海荃儒投資有限公司(“上海荃儒”)擬與北置基金下屬子公司麗水柏鈺股權投資合夥企業(有限合夥)(“麗水柏鈺”)、北置基金下屬子公司北京置信來遠投資管理有限公司(“置信來遠”)簽署《杭州天鍥企業管理諮詢合夥企業(有限合夥)合夥協議》及補充協議，即上海荃儒、麗水柏鈺擬共同新增入夥杭州天鍥企業管理諮詢合夥企業(有限合夥)(“杭州天鍥”)。此次新增出資後，杭州天鍥註冊資本將增加至7.01億元，其中：置信來遠作為普通合夥人認繳出資100萬元；上海荃儒作為有限合夥人以自有資金認繳出資3.5億元；麗水柏鈺作為有限合夥人以自有資金認繳出資3.5億元。
