皖維高新(600063.SH)：擬以7.95億元收購皖維皕盛100%股權 實現PVB樹脂原料向下遊產品線的縱向延伸
格隆匯2月10日丨皖維高新(600063.SH)公佈，此次交易包括髮行股份購買資產、募集配套資金兩部分。此次交易上市公司擬通過發行股份的方式，購買交易對方合計持有的皖維皕盛100%股權，同時擬向特定對象皖維集團發行股份募集配套資金。
根據中聯國信評估出具的皖中聯國信評報字(2022)第108號《評估報吿》，以2021年12月31日為評估基準日，標的資產皖維皕盛100%股權的評估值為7.94億元。經交易各方友好協商，此次交易標的皖維皕盛100%股權的交易價格為7.95億元，全部以發行股份的方式支付。此次交易中，公司發行股份購買資產的股份發行定價基準日為公司八屆六次董事會決議公吿日，發行股份購買資產的股票發行價格為4.32元/股，不低於定價基準日前120個交易日股票交易均價的90%。
公司擬以定價方式向皖維集團發行股份募集配套資金，此次交易上市公司向特定對象發行股票募集配套資金的發行價格不低於上市公司審核此次交易的首次董事會決議公吿日前20個交易日上市公司股票交易均價的80%，即4.52元/股。
此次擬募集金額不超過19875萬元，按照此次募集配套資金髮行價格4.52元/股測算，發行股份數量不超4397.1238萬股。募集配套資金總額不超過此次交易中以發行股份方式購買資產的交易價格的100%，發行股份數量不超過此次交易前上市公司總股本的30%，募集資金在扣除中介機構費用後，將全部用於補充上市公司流動資金。
皖維皕盛主要從事PVB中間膜及相關輔助材料研發、生產、銷售，主要產品為PVB膜系列產品。標的公司以PVB樹脂等為主要原料生產PVB中間膜，並將PVB中間膜銷售給下游客户以用於建築、汽車領域的PVB夾層玻璃的生產製造。
公司收購皖維皕盛後，總體關聯交易規模下降的同時，也實現了PVB樹脂原料向下遊產品線的縱向延伸，成為全國領先的涵蓋PVA-PVB樹脂-PVB中間膜全產業鏈的企業，業務協同效應顯著，有助於進一步拓寬產品系列，提升市場份額。因此，此次交易有利於上市公司進一步做強做大、提高抗風險能力和持續盈利能力，為股東持續創造價值。
